<br />Nai, THERRFOOE, IT IS AGRBaD: <br /> <br />I. <br /> <br />That pursuant to M.S.A. 161.24 and M.S.A. 161.38 the work on the frontage <br />road and entrances will be done in conjunction with the reconstruction oz <br />Victoria Street within the Village substantially as shown on the plans for <br />S.P. 6212-97 (T.H. 36=118) on ~ile in the office of the Commissioner of Highways, <br />St. Paul, ~~nnesotaJ and which plans are made a part hereof by reference. <br />II. <br />The Village agrees to maintain the ~rontage road and entrances at its <br />sole cost and expense from the time the travel.ed portions of said road and <br />entrances are completed and opened to traf~ic until the conveyance of Victoria <br />Street, inCluding said frontage road and entrances, is accomplished. <br />III. <br />The Village indemnifies, saves and holds harmles$ the State and all of its <br />agents and employees from any and all claims, actions or causes of action of any <br />kind or nature whatsoever ariSing out of or by reason or the maintenance work pro- <br />vided for herein to be performed by the Village and further agrees to defend at its <br />sole cost and expense any action or proceeding commenced for the purpose of <br />asserting any claim of any nature or kind ariSing out of said maintenance work. <br />IV. <br />All employees of the Village and all other employees while engaged in said <br />maintenance shall not be considered employees of the state and all claims that may <br />arise under the Workmen'S Compensation Act of the State of Minnesota on behalf of <br />said employees while so engaged and any claims made by any third parties as a <br />consequence of any act or omission on the part of said employees while so engaged <br />on said maintenance shall in no way be the obligation or responsibility of the <br />State and the Village holds the State harmless from any and all such Claims. <br /> <br />..2- <br />
