A. PARTIES <br />This Agreement is made and entered into by Ramsey Conservation District (RCD), and the Grass Lake Water <br />Management Organization GLWMO). <br />B. PURPOSE <br />WHEREAS, the GLWMO has requested assistance from the RCD and WHEREAS, the RCD, through its <br />publicly elected Board of Supervisors, is authorized and to enter into agreements with the GLWMO to provide <br />such assistance pursuant to MINN. STAT. 103C.331, SUBD. 3 and 7. <br />NOW, THEREFORE, the parties agree as follows: <br />C. TERM OF AGREEMENT <br />The term of this agreement shall be from January 1, 2011 to December 31, 2011 unless extended or terminated <br />as provided herein. <br />D. SCOPE OF SERVICES <br />The RCD will perform all services and furnish and deliver work products described in Exhibit A, attached and <br />made part of this agreement. These services include: select technical services, select educational services, and <br />administrative services, in cooperation with GLWMO staff, related to a BMP cost share program offered by the <br />GLWMO. <br />E. COST <br />2011 Professional Services Agreement <br />between the <br />Grass Lake Water Management Organization <br />and the <br />Ramsey Conservation District <br />In full consideration for services under this agreement, the RCD shall charge the GLWMO for the services <br />described in Exhibit A on a time and material basis. This agreement is not to exceed a total of $6,500.00 without <br />an amendment approved by the Board of GLWMO and RCD. <br />F. PAYMENTS <br />The RCD shall invoice the GLWMO. Quarterly for work performed during the invoice period. Quarterly <br />invoice must include listing and summary details of all services rendered (per appendix A) for that period. <br />Payment is due in full to the RCD within 30 calendar days after the next scheduled meeting of the GLWMO <br />Board. <br />G. EQUAL EMPLOYMENT OPPORTUNITY- CIVIL RIGHTS <br />During the performance of this Agreement, the RCD agrees to the following: <br />No person shall, on the grounds of race, color, religion, age, sex, disability, marital status, public assistance, <br />criminal record, creed or national origin, be excluded from full employment rights in, be denied the benefits of, <br />or be otherwise subjected to discrimination under any program, service, or activity under the provisions of and <br />all applicable federal and state laws against discrimination including the Civil Rights Act of 1964. <br />Page 1 <br />
