9. In the event �hat ar�y dags, cats, or other impounded anixnals axe unclaimed after the <br />expiration af an.y applicable redezx�ption. or quaxantine period, or six {6) days, whichever <br />is longer, they shall become t�e property of ACS and may be disposed of or so�d at its <br />sole discrei:ion. All praceeds from ihe disposition of such animals shall i�e the sole <br />property of ACS, including any proceeds recei�ved from anq animal,s disposed of in <br />accordance �rith Minnesota Siatutes 35.71. <br />10. The City shall furnish to ACS any required forms or receipts and ACS shall keep records <br />of a11 at�m�.is impounded. <br />11. ACS shall defend, indemnify, ar�d hold the City harmless including its officers, <br />emp�oyees or agents from any and all claa.ms, lawsuits, losses, damages, ox expenses on <br />account o�bodily injuries, sickz�ess, disease, death, and property darnage, including injury <br />to aivrnals caused by its employees. ACS shall provide the City proof of cornmercial <br />general liabili�y insuraz�ce and comprehensive automobile liability in an amount af at <br />least $SOO,OOO,OQ per occurrence. ACS shall carry, and upon requesi of the City provide <br />proof of Workers Compensation Insurance coverage required by Minnesota law. <br />12. ACS shall comply with the Minnesota Data Prac�ices Ac� a.�d all other State and Federal <br />iaws relating to data privacy ar confidentialiiy, and shall hold the City and i�s employees <br />harmless from any claims resulting from any improper disclosure or use of data it <br />receives or maintains in performance of fihis Agreemeni. ACS siiall imrnedia#ely report <br />to the Gity any requests from third parties for information relating to its perfarmance o£ <br />this Agzeement. <br />13. ACS agrees to promptly respond to inquiries fox in.formation or docuznentation from the <br />City relaiedl io its perfarmance of this Agzeement. <br />14. ACS agrees to abide by ihe requirements and regula�ions of the Americans witl� <br />Disabilities Act of 1990 (ADA), the Humar�s Rights Act (Minnesota Chapter 363 an.d <br />Title VII of' the Civil Rights Act of 1964}, an.d any laws goveming discrimination based <br />on race, gender, disability, religzon, sexual preference, and sexual karassment. Vialation <br />of axxy of the above laws can lead to termination of t.his contract. <br />15. Either party hereto, may termi�ate this contract after thirty (30} days written notice to the <br />ot�er party. Any payments due ACS shall not be a.�fecEed by termination. <br />l 6. Any notice required under applicable law oz this Agreement, rna�+ be sent to the otkaer <br />party as indicated on E�iibit One herein. <br />17. ACS shali be entitled to apply a fuel surcharge i.� the event the averaga price for unleaded <br />gasoline in the Twin Citi�s metropolitan area, as measured by AAA or similar reporting <br />service, is :53.15 per gallon or higher. <br />2 <br />
