PresbyterianHomesshaHberesponsibleJ()rthereplacementoftheChopperPumps.The <br />detemlinationofwhentheChopperPumpsshallbereplacedshallbemadebytheCityinits <br />reasonablediscretionapplyingthefoUowingcriteria:ifaChopperPumpneedsarepair,the <br />costofwhichisinexcessof50%ofthereplacementcostoftheChopperPump,theCity <br />shallapplyitsusualandcustomarycriteriatodeterminewhetherornottheChopperPump <br />shouldbereplacedorrepaired.IftheCitymakesdeterminationthattheChopperPump <br />shouldbereplaced,PresbyterianliomesshallpaytotheCitythecostofthereplacement <br />ChopperPumpwithin)OdaysofbeingnotifiedthereofbytheCity. <br />PresbyterianHomesagrees.toimplementaprogramthatwilleducateitsemployeesand <br />residentsabouttheadverseeffectsofdischargingobjectionablematerials,induding,butnot <br />limitedto,cloth,rags,orsimilarmaterialsintothemunicipalsanitarysewersystem. <br />PresbyterianHomesshaHalsocooperatewiththeCityregardingthemonitoringofthe <br />dischargeofobjectionablematerialsintothemunicipalsanitarysewersystem.themonitoring <br />ofthechopperpumpoperations,andthedeterminationofanoptimal,longtermsolution. <br />3.NoWaiver.Nothinghereinshallbeinterpretedasa\vaivcrbytheCityoftheobligationof <br />PresbyterianHomestocomplywithalloftheeitysregulationswithrespecttotheuseofor <br />dischargeintotheCityssanitarysewersystem. <br />4.BillofSale.ContemporaneouswiththeexecutionofthisAgreement,PresbyterianHomes <br />shallexecuteanddelivertotheCitytheBillofSaleinsubstantiallythesameformasthe <br />attachedExhibitA. <br />5.BindingEffect.ThisAgreementshallbindandinuretothebenefitofthepartiesheretoand <br />theirrespectivesuccessorsandpermittedassigns. <br />6.EntireAgreement.'rhisAgreementrepresentstheentireagreementandunderstanding <br />betweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements, <br />whetherwrittenororal,relatingthereto. <br />7.ModificationandWaiver.Nopurportedamendment.modificationorwaiverofany <br />provisionhereofshallbebindingunlesssetforthina\\-Tittendocumentsignedbyallparties <br />(inthecaseofamendmentsormodifications)orbythepartytobechargedthereby(inthe <br />caseofwaivers).Anywaivershanbelimitedtothecircumstanceoreventspecifically <br />referencedinthewrittenwaiverdocumentandshallnotbedeemedawaiverofanyother <br />termhereoforofthesamecircumstanceoreventuponanyrecurrencethereof. <br />8.NoThird-PartvBenefit.NothinginthisAgreement,expressorimplied,isintendedtoconfer <br />onanypersonotherthanthepartiestothisAgreementortheirpermittedsuccessorsor <br />assigns,anyrights.remedies,obligations,orliabilitiesunderorbyreasonofthisAgreement. <br /> <br />
