THISAGREEMENTismadeandenteredintotobeetlectivethedayof <br />2008byandbetweentheCityofArdenHills,aMinnesotastatutorycity(the <br />~sbyterianHomesofArdenHills,Inc"aMinnesotanon-profitcorporation <br />('PresbyterianHomes), <br />A.TheCityownsandoperatesacertainliftstationwhichreceivessewagefromthesouthwest <br />portionoftheCity('LiftStation#7), <br />B.PresbyterianHomesownsafacility(the"racility)withintheCity,thesewagelromwhichis <br />directedtoLiftStation <br />#7, <br />C.In2005,itwasdeterminedthatsewagedischargedbytheFacilitywascloggingorotherwise <br />causingdamagetothepumpswhichwerethenlocatedinI"iftStation(the''5HPPumps). <br />D.TheCityhasanordinancethatprohibitsthedischargeofobjectionablematerialsintothe <br />municipalsanitarysewersystem. <br />E.PresbyterianHomesagreedtoreplacethe5HPPumpswithtwosubmersiblechopperpumps <br />(the"ChopperPumps)whichwereinstalledatLiftStation#7intheSummerof2005, <br />F.TheCity'sexperiencewiththechopperpumps.intheshorttimesincetheirinstallation,has <br />beef!thatthematerialsdischargedbyPresbyterianHomesintothesanitarysewersystem <br />continuetocausesubstantiallymoremaintenanceoftheliftstation.andhaverequiredthe <br />needforexpensiverepairstothechopperpump~ <br />G.AnagreementbetweentheCityandPresbyterianHomesisnecessarywithrespecttothe <br />clarificationofcertainmattersregardingtheinstallation,maintenance,repair,and <br />replacementoftheChopperPumps.Thepartiesnowwishtomemorializetheir <br />understandinginwriting. <br />Therefore,forgoodandvaluableconsideration,thereceiptofwhichisherebyacknowledged, <br />theparticsheretoagreeasfollows: <br />1.CitvsResponsibilities.TheCityshallberesponsiblelbrthecostsandexpensesrelatedto <br />themaintenanceandrepairoftheChopperPumpsatthenormallevelassociatedwiththe <br />Citvsregularliftstationpumps. <br />TheCityshallalsocooperatewithPresbyterianHomesregardingthemonitoringofthe <br />chopperpumpoperations,andindetermininganoptimal.longtermsolution. <br />2.PresbyterianHomesResponsibilities.PresbyterianHomesshallberesponsibleforthecosts <br />andexpensesrelatedtothemaintenanceandrepairgftheChopperPumpsthatisbeyondthe <br />normallevelassociatedwithregularliftstationpumps.Thisshallinclude.butnotbelimited <br />to.purchasingany'}jparepartskits'relativetotheChopperPumps. <br /> <br />
