ATTACHMENTB <br />TheCityagreestopromptlyrespondtoinquiriesfromContractorconcerningdatarequests.The <br />employeesharmlessfromanyclaimsresultingfromthe <br />ContractoragreestoholdtheCity,itsofficers, <br />Contractor'sunlawfuldisclosureuseofdataprotectedunderstateandfederallaws. <br />AllProposalsshallbetreatedasnonpublicinformationuntiltheproposalsareopenedreviewby <br />theCity.AtthattimetheProposalsandtheircontentsbecomepublicdatatheprovisionsofthe <br />MinnesotaGovernmentDataPracticesAct,Minn.Stat.C. <br />47.of <br />AllContractorrecordswithrespecttoanymatterscoveredbythisagreementshallbeavailableto <br />theCityoritsdesigneesatanytimeduringnormalbusinesshours,asoftentheCitydeemsnecessary, <br />toaudit,examine,andmakeexcerptsortranscriptsofall <br />48. <br />ThelawsoftheStateofMinnesotashallgovernallinterpretationsofthiscontract,andappropriate <br />venueandjurisdictionforanylitigationwhichmayarisehereunderwillbethosecourtslocated <br />withintheCountyofRamsey,StateofMinnesota,regardlessofplaceofbusiness,residenceor <br />incorporationofthe <br />49. <br />TheCitymaycanceltheContractiftheContractorfailstofulfillitsobligationsunderContractina <br />properandtimelymanner,orotherwiseviolatesthetermsoftheContractifdefaulthasnotbeencured <br />after60dayswrittennoticehasbeenprovided.TheCityshallContractorallcompensationearnedprior <br />tothedateofterminationminusanydamagescostsincurredbytheCityasaresultofthebreach.If <br />thecontractiscanceledorallfinishedorunfinisheddocuments,data,studies,surveys,maps, <br />models,reportsorothermaterialspreparedbytheContractorunderthisagreementshall,at <br />optionoftheCity,becomethepropertyoftheCity,andtheContractorshallbeentitledtoreceivejust <br />andequitablecompensationforanysatisfactoryworkcompletedondocumentsormaterialspriorto <br />the <br />and <br />TheContractorwillensureadequateworkingconditionsandsafetyproceduresareinplacecomplywith <br />allapplicablefederal,stateandlocallawsandregulations.TheCitytherighttoinspectona <br />randombasisalltrucks,equipment,facilities,workingtrainingmanuals,recordsofclaimsfor <br />Worker'sCompensationorsafetyviolationsstandardoperatingproceduresdocuments. <br />AnyamendmentstothisAgreementshallbevalidonlywhenreducedtowriting,andsignedby <br />the <br />
