ATTACHMENTB <br />41. <br />TheContractoragreestocomplywithallapplicableFederal,Stateandlocallawsregulations <br />governingfundsprovidedunderthis <br />TheContractorpaysitsemployeesaprevailingwagebasedontherecyclingindustryinstateof <br />MinnesotaandHennepinCounty.TheContractordoesnotusetemporaryarrangementstoavoid <br />payingalivingwage.Allofouremployees,permanentandreceiveapaycheckthatmeetsor <br />exceedslivingwagestandards.Additionally,theprovideshealthinsuranceforallfulltime <br />employeesandaproratashareforworkingmorethan20hoursbutlessthan40hoursa <br />42. <br />Nothingcontainedinthisagreementisintendedto,orshallbeconstruedinanymanner,creatingor <br />establishingtherelationshipofemployer/employeebetweentheparties.Contractorshallatalltimes <br />remainanindependentContractorwithrespecttotheservicesbeperformedunderthisContract.Any <br />andallemployeesofContractororotherengagedintheperformanceofanyworkorservices <br />requiredbyContractorunderContractshallbeconsideredemployeesorsubcontractorsofthe <br />ContractoronlyandnottheCity;andanyandallclaimsthatmightarise,includingWorker's <br />CompensationundertheWorker'sCompensationActoftheStateofMinnesotaoranyotherstate, <br />ofsaidemployeesorotherpersonswhilesoengagedinanyoftheworkorservicesto <br />on <br />berenderedherein,shallbethesoleobligationandresponsibilityof <br />43.Hold <br />TheContractoragreestodefend,indemnifyandholdharmlesstheCity,itsofficersemployees,from <br />anyliabilities,claims,damages,costs,judgments,andexpenses,attorney'sfees,resultingdirectly <br />orindirectlyfromanactoromissionoftheContractor,employees,itsagents,oremployeesof <br />subcontractors,intheperformanceoftheprovidedbythiscontract,anyresultingenvironmental <br />liabilitythatisaresultofthiscontractbyreasonofthefailureoftheContractortofullyperform,inany <br />respect,anyofitsunderthiscontract.IfaContractorisaselfinsuredagencyoftheStateof <br />Minnesota,termsandconditionsofMinnesotaStatute3.732etseq.shallapplywithrespecttoliability <br />bonding,insuranceandliabilitylimits.TheprovisionsofMinnesotaStatutesChaptershallapplyto <br />otherpoliticalsubdivisionsoftheStateofMinnesota. <br />44. <br />TheContractoragreestomaintainthenecessarysourcedocumentationandsufficientinternal <br />controlsasdictatedbygenerallyacceptedaccountingpracticestoaccountforexpensesincurred <br />underthiscontract. <br />45.of <br />TheContractorshallretainallrecordspertinenttoexpendituresincurredunderthiscontractforaperiod <br />ofthreeyearsaftertheresolutionofallauditfindings.Recordsforexpendablepropertyacquired <br />withfundsunderthiscontractshallberetainedforthreeafterfinaldispositionofsuch <br />46. <br />TheContractoragreestocomplywiththeMinnesotaGovernmentDataPracticesActandother <br />applicablestateandfederallawsrelatingtodataprivacyorconfidentiality.Contractormust <br />immediatelyreporttotheCityanyrequestsfromthirdpartiesforrelatingtothisAgreement. <br />
