i� <br /> Agreement Between the Twin City Army Ammunition Plant Joint Development <br /> Authority and <br /> Kennedy and Graven, Chartered <br /> This is an agreement (the "Agreement") between the Twin City Army Ammunition Plant <br /> Joint Development Authority ("JDA"), a joint powers board of the State of Minnesota (the <br /> "Board"), on behalf of the City of Arden Hills ( the "City") and Ramsey County (the <br /> "County") the members of the Board, and Kennedy and Graven, Chartered <br /> ("ATTORNEYS"). <br /> In consideration of the mutual terms and conditions hereinafter set forth, the JDA and <br /> ATTORNEYS agree as follows: <br /> 1. Scope of Services. The JDA hereby retains the ATTORNEYS to represent and <br /> advise the JDA, by providing general legal services to the JDA for all non-bond legal matters <br /> relating to the JDA's activities in support of the redevelopment of the Twin City Army <br /> Ammunition Plant, and as directed by the JDA Board. <br /> 2. Cost/Payment, Attorneys have identified Michael T. Norton as the attorney who will <br /> be the lead attorney for providing services to the JDA under this Agreement ("Lead <br /> Counsel"). The other attorneys who may provide services at the direction of Mr. Norton are: <br /> Ms. Sarah J. Sonsalla, and other attorneys identified by Lead Counsel as necessary and <br /> convenient to undertake the duties of a particular matter for the JDA. Lead Counsel shall <br /> consult with the Chair of the JDA if attorneys other than Lead Counsel or Ms. Sonsalla <br /> employed by ATTORNEYS will bill the JDA for services. <br /> The JDA will pay the ATTORNEYS for attorney services under this Agreement <br /> identified by Lead Counsel $235.00 per hour. Paralegal services will be paid at the rate of <br /> $110.00 per hour. Any rate increases proposed by ATTORNEYS shall be negotiated <br /> annually with the JDA. The JDA will only pay actual and reasonable expenses without any <br /> premiums or markup. The JDA will not pay any expenses for computerized legal research in <br /> excess of$100 unless approved in advance. Actual copies of receipts for expenses over$100 <br /> must be attached to your billing statement. The ATTORNEYS shall promptly notify the JDA <br /> when total fees, costs, and/or expenses aggregate $5,000 and each multiple thereof. The <br /> ATTORNEYS shall submit an itemized bill and invoice monthly to the JDA Fiscal Agent, or <br /> other County official designated by the County. Upon receipt of the invoice and review of <br /> the charges by the JDA staff, payment shall be made by the JDA to the ATTORNEYS within <br /> 45 days following the receipt of the invoice. Interest accrual and disputes regarding payment <br /> shall be governed by the provisions of Minnesota Statutes Section 471.425. <br /> 3. Independent Contractor. It is agreed by the parties that at all times and for all <br /> purposes within the scope of this Agreement, the relationship of the ATTORNEYS to the <br /> JDA is that of an independent contractor and not that of employee, and that the <br /> ATTORNEYS shall be entitled to none of the rights, privileges or benefits of an employee of <br /> the JDA, the County or the City. <br /> 1 <br /> 42041 Iv2 MTN K0400-11 <br />
