<br />195537v2 2 <br />hours of services per week at the direction of City Administrator, David Perrault. The amount <br />and schedule of work hours shall be determined by work load and further agreed to by Joynes <br />and David Perrault. The services shall include, but not be limited to: <br /> <br /> Advice and consultation to David Perrault relating to (i) establishing or meeting <br />Council goals and policies; (ii) management of city staff; (iii) consulting advice <br />regarding TCAAPP activities; and (iv) other tasks and duties as determined by David <br />Perrault. <br /> <br />Article V <br />Cost of Service <br /> <br />The City agrees to pay Joynes for services at the rate of $85/hour, portal to portal. The <br />hourly rate of compensation shall be in effect for the duration of this Agreement. <br /> <br />Article VI <br />Expenses <br /> <br /> Joynes shall assume responsibility for customary out-of-pocket expenses incurred in the <br />normal course of discharging his services under this Agreement. <br /> <br />Article VII <br />Method of Payment <br /> <br />Joynes will invoice the City on a monthly basis for hours served and the City shall remit <br />payment to Joynes on a monthly basis for professional consulting services performed under this <br />Agreement. <br /> <br />Article VIII <br />Employment Status and Control of Work <br /> <br />At all times and for all purposes herein, Joynes is an independent contractor. Reporting <br />and work direction for the professional consulting services will be provided by David Perrault. <br /> <br />Article IX <br />Insurance and Liability <br /> <br /> a. Insurance. The City agrees to provide Joynes the following liability coverages: <br />(1) commercial general liability with a minimum liability limit of $1,500,000 per occurrence; <br />and (2) automobile liability, including owned, hired, and non-owned automobiles with a <br />minimum liability limit of $1,500,000 per occurrence. Said liability coverage shall be through <br />the League of Minnesota Cities Insurance Trust (LMCIT) using standard LMCIT liability <br />coverage forms or from a reputable insurance company authorized to do business in Minnesota. <br />The City agrees to name Joynes as an additional insured for the purpose of execution of his <br />duties as a professional consultant. <br />
