195537v2 1 CITY OF ARDEN HILLS, MINNESOTA Agreement for Professional Consulting Services This professional services contract (the “Agreement”) is made and entered into this ________ day of December, 2017, between William S. Joynes Sr. (“Joynes”), an independent contractor, and the City of Arden Hills, Minnesota, a Minnesota municipal corporation (the “City”). Recitals 1. The City is a municipal corporation organized under the laws of the State of Minnesota; and 2. The City has determined that it is in the best interest of the City and its citizens to contract for professional consulting services consistent with Minnesota Statutes; and 3. Joynes has the capacity to provide the City with professional consulting services; and NOW THEREFORE, in consideration of the mutual covenants and conditions set forth below, the parties agree as follows: Article I Purpose The purpose of this Agreement is to establish the rights and obligations of the parties whereby Joynes will provide professional consulting services to the City. Article II Term The term of this Agreement shall be through June 30, 2018, or such completion date as mutually agreed to by the parties. The parties may renew this Agreement in writing any time prior to the expiration of the current term. Article III Termination This Agreement may be terminated by either party by providing thirty (30) days written notice to the other party. Upon termination under this provision, Joynes shall be paid for services rendered until the effective date of termination. Article IV Scope of Services Joynes shall provide professional management and development consulting services to the City based upon mutual expectations of the parties and of Joynes rendering an average of 10
