AMENDED BY-LAWS <br />OF THE <br />LAKE JOHANNA FIRE DEPARTMENT <br />This instrument constitutes the By-laws of the Lake Johanna Fire Department, Inc. adopted for the <br />purpose of regulating and managing the internal affairs of the corporation. <br />ARTICLE I. REGISTERED OFFICE <br />Section 1.1 Address. The registered office of the corporation shall be at 5545 Lexington Avenue <br />North in the City of Shoreview, Minnesota. The corporation may have other such <br />offices as the Board of Directors may from time to time determine. <br />ARTICLE II. MEMBERSHIP MEETINGS <br />Section 2.1 Place. All meetings of the membership shall be held at a designated fire station, unless <br />otherwise specified by the Board of Directors. <br />Section 2.2 Time. An annual meeting of the members shall be held in the month of January of each <br />year with the date and time to be set by the Fire Chief. Notice of the meeting shall <br />follow the process outlined in Article V, Section 5.1. At the annual meeting the <br />members shall elect Board Members to fill any vacancies created by the expiration of <br />terms of office of active Fire Department members of the Board of Directors. <br />Section 2.3 Polling Time. To be eligible to vote, members must be present in the meeting room at <br />which the election shall occur, not later than 15 minutes after the posted starting time. <br />Absentee voting shall be permitted as provided in Section 7.2. <br />Section 2.4 Filing Requirements. Members interested in becoming candidates for Board positions <br />must file a letter of candidacy to do so with the Fire Chief by December 3 1 " of the year <br />prior to the annual meeting at which the election is to be held. Nominations from the <br />floor for Board of Director positions are prohibited. <br />ARTICLE III. MEMBERSHIP <br />_Section 3.1 Type. The membership of the corporation shall consist of the following two classes of <br />members. <br />3.1.1 Active Member. A member who has completed probation and has been accepted as a <br />firefighter by the affirmative vote of a majority of the Board of Directors is considered <br />active. All active members must comply with the Rules and Regulations of the Fire <br />Department as adopted and amended by the board from time to time in order to be a <br />member in good standing. Each active member shall have voting rights as specified in <br />Article 7. <br />2 <br />
