15.2.1 Members of Committees. The President shall appoint, with the approval of the Board, <br />the Chairman and members of each committee. Each committee may appoint one or <br />more subcommittees. Committee members may be Board of Director members and/or <br />active members of the Fire Department. <br />15.2.2 Rules and Regulations. The Fire Chief is authorized to establish rules and regulations <br />governing the conduct and appearance of firefighters while on duty. <br />Section 15.3 Suspension or Termination. The Fire Chief will report any disciplinary actions to the <br />Board of Directors at a regularly scheduled Board of Directors meeting. <br />15.3.1 Disciplinary Appeal. Any member Suspended for more than 30 days or terminated <br />may request an Appeal to the Board of Directors. All Appeals must be initiated by <br />submission to the Fire Chief in writing within 10 days of imposition of the suspension <br />or termination. In the event of a timely appeal a due process hearing will be conducted <br />at a regularly scheduled or special Board of Directors meeting. The Board of Directors <br />may uphold, rescind, or modify the discipline. The decision of the Board of Directors <br />shall be in writing and is final and binding. <br />Section 15.4 Approval. All rules, regulations, policies and directives, qualifications and require- <br />ments, and procedures adopted under Article XV, Sections 15.2.1, 15.2.2, and 15.4 <br />must be approved by a majority of the Board of Directors, provided that at least two of <br />the votes to approve a change are from the three active firefighter Board Members. <br />Section 15.5 Prior Rules and Policies. Upon adoption of these By-laws all rules, regulations, <br />policies and directives and other such administrative matters already in place shall <br />remain in place and serve as the official documents under which the Fire Department <br />operates until such time as they are amended or superseded. <br />Section 15.6 Leave of Absence. A leave of absence may be granted to any member by the Board of <br />Directors as outlined in the Policies, Rules and Regulations. <br />ARTICLE XVI. INDEMNIFICATION <br />Section 16.1 Indemnification. Any person who at any time shall serve or shall have served as <br />director, officer or employee of the corporation, and the heirs, executors and <br />administrators of such person shall be indemnified by the corporation, in accordance <br />with and to the fullest extent permitted by Minnesota State Statutes, Section 317A.521 <br />as it may be amended from time to time. <br />Dated: Chief <br />/ -:.- _. <br />Secret , <br />9 <br />
