Section 12.4 Removal. The Fire Chief shall at all times be accountable to the Board of Directors <br />and may be removed only after being given a due process hearing. The entire Board <br />of Directors shall comprise the hearing board and a minimum of at least five (5) votes <br />will be required for removal. <br />Section 12.5 Board of Directors Meetings. The Fire Chief may attend all meetings of the Board of <br />Directors and will receive all notices of the meetings and minutes. The Fire Chief may <br />participate in the deliberations of the Board of Directors but will not vote on the Board's <br />actions. <br />ARTICLE XIII. RULES OF PROCEDURE <br />Section 13.1 Robert's Rules. The rules contained in the current edition of "Robert's Rules of Order" <br />shall govern meetings of the members and the Board of Directors, in all cases to which <br />they are applicable and in which they are not inconsistent with these By-laws or any <br />special rules of order the Board of Directors may adopt. <br />ARTICLE XIV. AMENDMENTS <br />Section 14.1 Procedure. The Board of Directors may propose amendments to these By-laws by <br />resolution, and the proposed amendments to these By-laws may be adopted by a two- <br />thirds (2/3) majority vote of the entire Board of Directors, provided that at least two of <br />the votes to approve a change is from the active firefighter Board Members. Twenty <br />(20) days written notice of such proposed amendments and the time and place of such <br />meeting, shall be given to all Fire Department members and to the Board of Directors. <br />Section 14.2 Limits. The Board of Directors may not amend Sections 3.1.1, 3.1.2, 8.1, 8.2, 8.3, 8.4, <br />8.5, 9.1, 9.2 nor 14.2 of these By-laws. These sections may only be amended by a vote <br />of the active members of the Fire Department. <br />ARTICLE XV. POWERS OF THE BOARD OF DIRECTORS <br />Section 15.1 The Board of Directors will have the following responsibilities: Appoint and conduct <br />performance reviews of the Fire Chief. Review Policies and Guidelines of the Fire <br />Department. Review and approve the Operating and Capital budgets. Review and <br />approve the departments Long Range Plan. Review and approve financial statements <br />and accept the annual audit report. Review and approve Fire Department expenditures. <br />Review and approve the Lake Johanna Firefighters Relief Association Pension benefit <br />and make adjustments as necessary. Review and accept the Fire Department Annual <br />Report. Conduct any disciplinary hearings as necessary in accordance with the By- <br />laws; and appoint committees or subcommittees of the Board of Directors as necessary. <br />Section 15.2 Committees. The Board of Directors may act through such committees as may be <br />specified by resolutions adopted by a majority of the members of the Board of <br />Directors. Each such committee shall have such duties and responsibilities as are <br />assigned to it from time to time by the Board of Directors. Each such committee shall <br />at all times be subject to the rules and regulations of the Fire Department. <br />
