<br /> . C~~(n <br /> . METRO EAST COALITION <br /> ORGANIZATIONAL STRUCTURE <br /> April 2, 1987 <br /> l. The Metro East Coalition (the "Coalition"), an organization <br /> of interests in Dakota, Ramsey, and Washington Counties, <br /> would be a nonprofit Internal Revenue Code Section 501(c)(6) <br /> membership corporation. <br /> 2. The membership of the Coalition would be drawn from the <br /> three counties it represents, although it is contemplated <br /> that - outside of Ramsey County - only the communities <br /> located in northern Dakota and western Washington counties <br /> would be interested in becoming members. <br /> 3. Membership in the Coali tion would be open to: (a) any <br /> incorporated local or county unit of government; (b) any <br /> organized chamber of commerce; and (c) any organized <br /> industry trade group. Each member unit of government, <br /> chamber of commerce or trade group would be represented by <br /> its chief executive officer or a designee of such officer. <br /> Membership would be available upon the payment of a basic <br /> annual membership fee of $500. Each member would be <br /> . enti tled to receive information about the activities of the <br /> Coalition, to attend Coalition membership meetings, and to <br /> become a participating member of the Coalition. The <br /> membership of the Coalition would meet at least annually. <br /> 4. Each member of the Coalition would become a participating <br /> member upon the payment of a minimum annual participation <br /> fee of $2,500. It is expected that the actual contribution <br /> to the Coali tion by a participating member will be <br /> commensurate with the size or scale of operations of such <br /> member. Each participating member would serve on the <br /> Coalition's board of directors which would set the overall <br /> policies and direction of the Coalition. . The board of <br /> directors of the Coalition would meet at least semi- <br /> annually. Decisions of the board would be made by majority <br /> vote of the directors present at a board meeting. <br /> 5. The operations of the Coalition would be conducted by a <br /> management committee. The committee would consist of 17 <br /> people to be selected by the committee from the units of <br /> government that become participating members of the <br /> Coalition and from the businesses belonging to the chambers <br /> of commerce and trade groups that become participating <br /> members. The committee members would be generally <br /> representative of the geographic constituencies of the <br /> . Coalition (i.e. , Dakota County, suburban Ramsey County, the <br /> .
