<br /> PURCHASE AGREEMENT
<br /> PURCHASE AGREEMENT entered into as of July 28, 1987, by and between 96 HAMLlNE
<br /> PARTNERS LIMITED PARTNERSHIP, a Minnesota limited partnership, c/o 1500 First
<br /> National Bank Building, Saint Paul, Minnesota 55101 ("Seller"); VILLAGE OF ARDEN
<br /> HILLS, a Minnesota statutory city, 1450 West Highway 96, Arden Hills, Minnesota 55112
<br /> ("Buyer"); and GP-BAJR, INC., a Minnesota corporation, 1100 International Centre, 900
<br /> Second Avenue South, Minneapolis, Minnesota ("GP").
<br /> WHEREAS, Seller is the owner of the following tract of land (the "Land") located in the
<br /> Village of Arden Hills, County of Ramsey, State of Minnesota: ,.
<br /> All of the following described parcel except the East 220 feet
<br /> thereof: the Northeast 1/4 of the Northwest 1/4 of Section 22,
<br /> Township 30, Range 23, except the South 3/4ths thereof and
<br /> except the West 397.5 feet thereof (containing 197,399.24
<br /> square feet).
<br /> WHEREAS, Seller had entered into a purchase agreement with GP for the sale of a
<br /> portion of the Land located in said Village, County, and State described as follows:
<br /> . The West 200 feet of the following described parcel; the
<br /> Northeast 1/4 of the Northwest 1/4 of Section 22, Township 30,
<br /> Range 23, except the South 3/4ths thereof and the West 397.5
<br /> feet thereof.
<br /> WHEREAS, GP, for the consideration described in Section 3, has agreed to release Its
<br /> rights under such purchase agreement In exchange for the right to purchase the following
<br /> the following tract of adjacent land (the "Adjacent Land") located in said Village,
<br /> County, and State:
<br /> The East 220 feet of the following described parcel: the
<br /> Northeast 1/4 of the Northwest 1/4 of Section 22, Township 30,
<br /> Range 23, except the South 3/4ths thereof and except the West
<br /> 397.5 feet thereof (containing 61,292 square feet).
<br /> WHEREAS, Seller shall reserve a nonexclusive easement for access purposes for the
<br /> benefit of the Land over and across the South 35 feet of the Adjacent Land (the
<br /> "Easement Area");
<br /> WHEREAS, Buyer wishes to purchase the Land, and Seller Is willing to sell the same,
<br /> upon the terms and subject to the conditions of this .Agreement;
<br /> NOW, THEREFORE, the parties agree, for themselves, their successors and assigns, as
<br /> follows:
