<br />. <br /> MAINTENANCE AGREEMENT <br />. This Agreement is entered into by and between the City of <br /> Arden Hills, a Minnesota municipal corporation (herein "Cityll); <br /> and Group Health Inc. , a Minnesota corporation (herein <br /> "Developer") . <br /> Developer has constructed certain improvements on Lot I, <br /> Block 1, Northwoods, Ramsey County, Minnesota including a storm <br /> water detention pond and control structures for the pond, all <br /> within the drainage and utility easement depicted on the plat of <br /> Northwoods in the Southeast corner of Lot 1, Block 1 (herein <br /> "Storm Water Pond"). The City and the Developer have negotiated <br /> the Developer's payment of a public use fee in connection with <br /> the City's development regulations. As part of the negotiations <br /> the City agreed to assume the maintenance obligation for the <br /> storm Water Pond. <br /> NOW THEREFORE, in consideration of the mutual undertakings <br /> herein expressed and as part of the consideration for the payment <br /> of a public use fee, the parties agrees as follows: <br /> l. Developer shall complete construction of the Storm <br /> Water Pond and control structures for Lot 1, Block 1, <br /> Northwoods pursuant to plans and specifications which <br /> have been approved by the City. <br />. 2. Upon inspection, the City shall provide Developer witlc <br /> a written notice of acceptance of the Storm Water Pond. <br /> 3. After acceptance of the Storm Water Pond, the City <br /> shall be responsible for maintaining all non1andscaped <br /> portions of the storm Water Pond, including without <br /> limitation the inlet and outlet structures for the <br /> storm Water Pond and the removal of debris from the <br /> Storm Water Pond and shall further assume all liability <br /> therefor. <br /> 4. Developer agrees to maintain the landscaped portions of <br /> the Storm Water Pond in a manner consistent with the <br /> Developers overall landscaping for the site. <br /> 5. Developer agrees not to deposit any debris or grass <br /> clippings in the water of the storm Water Pond. <br /> 6. Developer hereby grants an easament to the City over <br /> and across that portion of Lot 1, Block 1, Northwoods <br /> described on Exhibit A attached in order to allow the <br /> City to have access to the storm Water Pond from <br /> Northwoods Drive and in order to allow the City to <br /> maintain the Storm Water Pond provided that the City <br /> shall be responsible for any damages to Developer's <br />. property resulting from the City's maintenance <br /> procedures. . <br /> 1 <br /> ------ <br />
