<br />. (f) The City has made the findings required by Section <br />469.175, Subdivision 3, of the Tax Increment Act for <br />the tax increment district, and has set forth in <br />writing the reasons and supporting facts for each <br />determination. <br /> <br />2.2 ReDresentations and Warranties of the OeveloDer. The <br />Developer makes the following representations and <br />warranties: <br /> <br />(a) The Developer is a Minnesota corporation duly formed <br />and existing under laws of the State. <br /> <br />(b) The Developer has power to enter into this Agreement <br />and to perform its obligations hereunder and is not in <br />violation of any provisions of the laws of the State. <br /> <br />(c) The Developer will exercise reasonable efforts to cause <br />development of the Redevelopment Property, as <br />contemplated by this Agreement. The Developer's <br />obligations in this regard, are more specifically set <br />forth in Article III hereof. <br /> <br />(d) The Developer will obtain, or cause to be obtained, all <br />required permits, licenses and approvals, and will meet <br />all requirements of all applicable state, local and <br />. federal laws and regulations which must be obtained or <br />met before the improvements, or any phase thereof, may <br />be lawfully constructed. <br /> <br />(e) Neither the execution and delivery of this Agreement, <br />the consummation of the transactions contemplated <br />hereby, nor the fulfillment of or compliance with the <br />terms and conditions of this Agreement is prevented, <br />limited by or conflicts with or results in a breach of <br />the terms, conditions or provision of the Developer'S <br />Articles of Incorporation or By-Laws or any contractual <br />restriction, evidence of indebtedness, agreement or <br />instrument of whatever nature to which the Developer is <br />now a party or by which it is bound, or constitutes a <br />default under any of the foregoing. <br /> <br />(f) The Developer would not enter into this Agreement nor <br />undertake the development work contemplated herein but <br />for the tax increment financing assistance provided by <br />the City pursuant to this Agreement. <br /> <br /> <br /> <br /> <br /> <br />. <br /> <br />5 <br />
