This Agreement is dated the day of . <br />' 1995, and is entered into by and between <br />Control Data Systl!lllS, Inc. ('Control Data" ), CSH Corporation <br />('CSM"), and the City of Arden Hills ("Arden Hills"). <br /> <br />2 . () Recitals. I <br /> <br />A. Control Data represents that it is the fee owner of the I <br />property outlined in yellow on Exhibit 1 attached (the <br />"Sllbject Property"). Control Data has requested that <br />Arden Hills approve a minor subdivision of the Subject <br />Property which would result in the creation of Parcels A I <br />and B as is shown on Exhibit 1. The request for minor <br />subdivision approval is contained in City File No. 95-11. <br /> <br />B. CSM represents that it has a right to purchase Parcel B I <br />subject to the approval of a minor subdivision by Arden <br />Bills. CSH has requested that the City approve a site <br />plan for the development of a portion of Parcel B. The I <br />site plan application is contained in City Pile 95-09. <br /> <br />C. Both Control Data and CSM have indicated that time is of <br />the eseellce in the closing of their transaction. The . . <br />City has the option of requiring Control Data to plat the <br />Subject Property. This would be a more time consuming <br />procedure. Arden Bills is willing to accommodate the <br />closing schedule of Control Data and CSM by approving a I <br />minor subdivision if the City is assured that any further <br />development of Parcel A would be pursuant to a planned <br />unit development. . <br /> <br />3.0 Terms and Conditions. NOW, THEREFORE, in reliance upon <br />the above representations and in consideration of the City's <br />approval of the minor subdivision for City File No. 95-11, the I <br />parties agree as follows: <br /> <br />A. No additional development shall be allowed on Parcel A I <br />without City approval of a planned unit development. As <br />used herein the term "development" means the construction <br />of additional buildings on Parcel A or the SUbdivision of <br />a portion of Parcel A in order to transfer title. Any . <br />sublettin<;J of buildings currently located on Parcel A <br />shall be for the purposes that are consistent with the <br />City's zoning.regulations and for uses which will not <br />create a parking demand in excess of the spaces available . <br />on the site. <br /> <br />B. Nothing in this agreement shall require Arden Bills to . <br />approve a planned unit development unless it is in <br /> <br /> <br />-. <br />I <br />
