<br /> --.- <br /> I <br /> > <br /> PROFESSIONAL SERVICE AGREEMENT eJ. <br /> - <br /> - <br /> This Agreement, made and entered into this 12th day of June, 1995, by and between Camiros, <br /> Ltd" an Illinois corporation, with offices at and whose mailing address is 411 South Wells Street, I' <br /> Chicago, Illinois 60607, (referred to as the "CONSULTANT'') and the City of Arden Hills, a <br /> municipal corporation of the State of Minnesota whose mailing address is 1450 W, Highway 96, I <br /> Arden Hills, Minnesota 55112-5794 (referred to as the "CITY"). <br /> WITNESSETH: I <br /> WHEREAS CITY desires to engage the services of CONSULTANT to furnish technical and I <br /> professional assistance in connection with preparation of a Master Reuse Plan for the Twin Cities <br /> Army Ammunition Plan (TCAAP), (referred to as the "PROJECT"), and <br /> WHEREAS CONSULTANT has indicated its willingness to provide such technical and (f) I <br /> professional services to the CITY, and it is understood that the CITY selected Camiros, Lt ' <br /> its CONSULTANT because of the expertise and participation of the CONSULTANT'S team I <br /> members of its Chicago and Minneapolis office staff, and <br /> WHEREAS the CITY has decided to engage the CONSULTANT to carry out the PROJECT, ~I <br /> and <br /> WHEREAS CITY and CONSULTANT have agreed that the services to complete the PROJECT I <br /> shall be compensated for by payment of a predetermined lump sum, <br /> NOW THEREFo~e CITY and the CONSULTANT, for the consideration herein set forth, 1 <br /> agree that the CO T ANT will perform the professional services and the CITY will perform <br /> its coordinating, research and supportive activities, both in accordance with the procedure set 1 <br /> forth below: <br /> A. Scope of CONSULTANT Service 1- <br /> CONSULTANT agrees to perform the services required to complete the PROJECT in a good and <br /> professional manner, Said CONSULTANT services are set forth in Attachment I, Phases I and 2 I <br /> (Scope of Consultant Services) attached to and expressly made part of this agreement, <br /> B. Scope of CITY Services I <br /> 1.
