<br /> <br />City of Arden Hills, Minnesota <br />Professional Services Agreement <br /> <br />AGREEMENT made this _______ day of _______, 20_______, by and between the <br />CITY OF Arden Hills, a Minnesota municipal corporation (the City), and Dave Perrault <br />(consultant). <br /> <br />The parties agree as follows: <br /> <br />1. SCOPE OF WORK. The City of Arden Hills is entering into a professional <br />services agreement with Dave Perrault to consult and advise on various projects related to the <br />City of Arden Hills. These projects may include assisting with the collective bargaining <br />agreement negotiations between the City and the International Union of Operating Engineers <br />Local 49, assisting with ongoing project work relating to Rice Creek Commons, and <br />miscellaneous operational items at the direction of the Interim City Administrator. Additional <br />projects may be included upon mutual agreement between the City and Mr. Perrault. The Interim <br />City Administrator shall be the primary contact for Mr. Perrault and shall provide necessary <br />work direction. <br /> <br />2. PAYMENT FOR SERVICES. The City shall pay Mr. Perrault at the rate of <br />$125.00 per hour. The minimum billing increment shall be fifteen minutes or .25 of an hour. <br /> <br />3. EQUIPMENT/IT NEEDS. The City shall make available any necessary <br />equipment, software applications, or other item necessary for Mr. Perrault to provide services, <br />this shall include but is not limited to a temporary laptop, software applications (Word, <br />PowerPoint, Xcel), access to applicable network information and shared drives, as needed to <br />complete projects referenced above. <br /> <br />3. GENERAL EXPENSES. The City shall pay any additionally incurred expenses <br />by Mr. Perrault at cost, Mr. Perrault will keep an itemized record of said expenses. Any and all <br />additional expenses must be pre-approved by the City Administrator. Any associated milage will <br />be reimbursed at the 2024 Federal mileage rate, time spend travelling shall not be paid. <br /> <br />4. HOURS OF WORK. Mr. Perrault will generally be working on City-related <br />items outside of normal working hours; the City shall not require work to be conducted during <br />normal working hours unless mutually agreed upon. <br /> <br />5. STANDARD OF CARE. In performing his services, Mr. Perrault will use that <br />degree of care and skill ordinarily exercised, under similar circumstances, by reputable members <br />of his profession in the same locality at the time services are provided. No warranty, express or <br />implied, is made or intended by Mr. Perrault’s undertaking herein or his performance of services. <br /> <br />6. TERMINATION. Either the City or Mr. Perrault may terminate this contract at <br />any time, termination must be submitted in writing. Following termination, the City shall make <br />any payment for services provided and not yet paid within fifteen days of termination. Unless
