<br />terminated or otherwise mutually agreed upon, this contract shall terminate on December 31st, <br />2024. <br /> <br />7. LIABILITY AND INSURANCE. The City agrees to provide Mr. Perrault the <br />following liability coverages: Commercial general liability with a minimum liability limit of <br />$1,500,000 per occurrence. Said liability coverage shall be through the League of Minnesota <br />Cities Insurance Trust (LMCIT) using standard LMCIT liability coverage forms or from a <br />reputable insurance company authorized to do business in Minnesota. The City agrees to name <br />Mr. Perrault as an additional insured for the purpose of execution of this contract. <br /> <br />Liability - The City agrees to defend and indemnify Mr. Perrault from and against all <br />claims, actions, damages, losses, and expenses arising out of his performance or failure to <br />perform its duties arising under this Agreement. <br /> <br /> 8. INDEPENDENT CONTRACTOR STATUS. All services provided by Mr. <br />Perrault pursuant to this Agreement shall be provided as an independent contractor and not as an <br />employee of the City. <br /> <br /> 9. MISCELLANEOUS PROVISIONS <br />a. Assignment. This Agreement is not assignable without the mutual written <br />agreement of the parties. <br /> <br />b. Data Practices Compliance.
