D-1 <br />TW185\1\1011577.v13 <br /> <br />EXHIBIT D <br />TO <br />DEVELOPMENT AGREEMENT <br /> <br />Declaration of Restrictive Covenants <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br /> <br />(reserved for recording information) <br /> <br />DECLARATION OF RESTRICTIVE COVENANTS <br />FOR SUSTAINABLE PRACTICES AT RICE CREEK COMMONS <br /> <br /> THIS DECLARATION OF RESTRICTIVE COVENANT FOR SUSTAINABLE PRACTICES AT RICE CREEK COMMONS (this “Declaration”) is made this _______ day of _________________, 2025, by RCC I, LLC, a limited liability company organized under the laws of the state of Delaware (“Declarant”) in favor of and for the benefit of the Twin Cities Army Ammunition Plant Joint Development Authority (the “JDA”), the City of Arden Hills, Minnesota (the “City), and Ramsey County, Minnesota (the “County”). <br /> <br />WITNESSETH: <br /> WHEREAS, Declarant is the fee owner of property located in Ramsey County, Minnesota, legally described in Exhibit A attached hereto (the “Property”), which is part of the Rice Creek Commons development, where in Developer intends to construct a commercial building and other related improvements (the “Development”); and <br /> WHEREAS, the City and the County have created a joint powers entity known as the JDA, which is the governing body for development of Rice Creek Commons; and <br />WHEREAS, the JDA has approved Sustainability Design Guidelines for the Development in order to implement the Green Energy Vision and Clean Energy Policy as adopted by the JDA and support the JDA’s pursuit of LEED for Communities (Leadership in Energy and Environmental Design v4.1 for Communities: Plan +Design) certification (the “Sustainability Design Guidelines”); and <br />WHEREAS, the JDA and the Declarant have entered into a development agreement (the “Development Agreement”) related to the plat of RICE CREEK COMMONS, under the terms of
