Attachment B CONSULTING SERVICE AGREEMENT This CONSULTING SERVICE AGREEMENT is entered into as of the date this service agreement is fully executed. BETWEEN: HueLife, LLC ("the Service Provider"), with its office located at: 5775 Wayzata Blvd, Ste 700 St. Louis Park, MN 55416 AND: City of Arden Hills (The "Client"), with its office located at: 1245 Highway 96 W Arden Hills, MN 55112 1. Services. Services Provider agrees to perform the services stated in Schedule A to this Agreement as amended by the parties (the "Services"). Service Provider shall use best efforts to perform the duties of the Contractor faithfully, and to the best of the Service Providerr's ability. Service Provider agrees to provide all services hereunder in accordance with all applicable laws. The Services will be performed professionally by individuals possessing the requisted knowledge, expertise, and training necessary to effectively carry out this Agreement in a manner that equals or exceeds industry standards. 2. Compensation and Reimbursements. Service Provider shall be compensated for the Services as provided in Schedule A, and the applicable Scope of Work ("SOW") between the parties. Service provider shall submit an invoice upon completion of Services for each SOW, and Client shall pay Service Provider within 30 days of receipt of each invoice. Service Provider shall not be paid any additional amounts for overtime or for travel time. Servcie Provider will not be reimbursed by Client for any day-to-day business expenses incurred in the rendition of Services. 3. Term. This Agreement shall be effective from the date first listed above for a period of one (1) year, unless sooner terminated by either party in accordance with the terms of this Agreement. Thereafter, the Agreement shall be automatically renewed for successive periods of twelve (12) months unless either party notifies the other in writing of their desire to terminate this Agreement at least 30 days prior to the commencement of any such renewal term. Either party shall have the right to terminate this Agreement if the other party materially breaches any term or condition of this Agreement, including but not limited to failure to perform, and fails to cure such breach within fifteen (15) days after written notice of the same. In the event of termination Client shall be obligated to compensate Service Provider for all fees incurred through the date of termination. 4. Relationship of the Parties. Client shall have no right to control the means or manner of the Service Provider's performance of the duties hereunder. Service Provider enters into this Agreement as, and shall continue to be, an independent contractor. 5. Non-Soliciation. a. During the term of this Agreement, and for a period of two (2) years immediately following the Agreement's termination or expiration, Client (including its owners, officers, employees and agents) shall not, directly or indirectly, for itself, or on behalf of any other person, firm,
