corporation or other entity, whether as principal, agent, employee, stockholder, partner, <br />member officer, director, sole proprietor recruit or otherwise, solicit, participate in or <br />promote the solicitation of any Service Provider officer, director, employee, consultant, or <br />contractor (collectively referred to as "Service Provider Employee") to leave the <br />employment or other relationship with Service Provider, or to hire, retain or engage such <br />Service Provder Employee. <br />b. During the term of this Agreement, and for a period of two (2) years immediately following <br />the Agreement's termination or expiration, Service Provider (including its owners, officers, <br />employees and agents) shall not, directly or indirectly, for itself, or on behalf of any other <br />person, firm, corporation or other entity, whether as principal, agent, employee, <br />stockholder, partner, member officer, director, sole proprietor recruit or otherwise, solicit, <br />participate in or promote the solicitation of any Client officer, director, employee, <br />consultant, or contractor (collectively referred to as "Client Employee") to leave the <br />employment or other relationship with Service Provider, or to hire, retain or engage such <br />Client Employee. <br />6. Confidentiality. Service Provider and Client will treat all information related to or learned in <br />anticipation of or in the course of this consulting service agreement as proprietary and confidential. <br />Without prior written approval from Client, no information shall be disclosed to third parties. Neither <br />party shall use any confidential information for any purpose other than to complete the Services <br />described herein. The parties' obligations under this Paragraph 6 will survive indefinitely, <br />notwithstanding termination of this consulting service agreement. The parties will treat as confidential <br />the terms of this consulting service agreement. <br />7. Notices.
