Proprietary Rights. The Client retains all rights and title to its intellectual property. Service Provider <br />hereby grants to the Client a non-exclusive, worldwide, perpetual, irrevocable, royalty -free, fully paid <br />up, right and license to use any written materials and other intellectual property provided in connection <br />with the services for The Client internal use. <br />9. Miscellaneous. <br />a. Service Provider agrees to indemnify and hold the Client harmless against any claims of <br />loss or damage arising from the delivery of the services covered by this consulting service <br />agreement. <br />b. Failure to enforce or uphold any aspect of this consulting service agreement shall not be <br />construed as a waiver of any other aspect of the agreement. <br />c. Should any aspect of this agreement be judged to be illegal or unenforceable, all other <br />aspects of this agreement shall remain in full effect, and any nullified aspects of this <br />consulting service agreement shall be replaced by new terms acceptable to both parties. <br />d. This service delivery agreement represents the entire agreement between HueLife, LLC <br />and City of Arden Hills . No other agreements, written or oral, are valid <br />e. This Agreement shall be governed in accordance with the laws of the State of Minnesota. <br />All disputes under this Agreement shall be resolved by litigation in the courts of the <br />Hennepin County, State of Minnesota, including the federal courts therein, and both <br />parties consent to the jurisdiction of such courts, agree to accept service of process by <br />mail, and hereby waive any jurisdictional or venue defenses otherwise available to it. <br />f. All of the Exhibits attached hereto shall be deemed a part of this Agreement. <br />g. This Agreement, and any amendment to this Agreement, may be signed in counterparts. <br />In the event that this Agreement or any amendment is signed in counterparts, the <br />document shall be effective only when the last party has signed its counterpart. <br />By signing this consulting service agreement both parties warrant they have reviewed and agree to all <br />terms incorporated in the agreement and is authorized by law to execute this Contract, intending to be <br />legally bound thereon. <br />3 <br />
