Any adjustment in the Per <br />Capita Payment beyond those indicated by reference _ <br />to the index shall require approval <br />of each of the Cities. Per Capita Payments shall <br />be made to NYFS on or before January 30th of each <br />year. <br /> <br />B. Board of Directors. Each city may appoint a member to <br />the NYFS Board of Directors ("BOard"). In addition, the <br />Board shall consist of those members appointed pursuant <br />to NYFS's Bylaws. <br /> <br />C. Bvlaw Additions/Amendments. The Board shall adopt Bylaws <br />requiring an open process for contracting services and <br />prohibiting NYFS from supporting or opposing individual <br />candidates for election to any of the Cities' Councils. <br /> <br />D. Continqencies. The obligations of the cities as <br />described herein shall be contingent upon the following: <br /> <br />1. Prior to receipt of Per Capita Payments, NYFS shall <br />submit a written report to the Cities including the <br />proposed budget for the succeeding year. The <br />report shall identify the cost of each service to <br />each City for the previous year and for the <br />succeeding budget year. <br /> <br />2. NYFS shall periodically advise Cities of services _ <br />available through its organization to the Cities <br />residence. <br /> <br />3. NYFS shall establish a sliding scale for counseling <br />services to resident" of Cities and periodically <br />advise Cities of such fees. <br /> <br />4. NYFS shall provide other reasonable information <br />requested by Cities. - <br /> <br />5. NYFS shall purchase a liability insurance policy in . <br />an amount of at least $600,000, naming each of the <br />Cities as an additional insured and shall provide <br />copies of such policies to each of the Cities - <br />annually. <br /> <br />6. NYFS shall provide each City with a copy of its <br />Articles of Incorporation, Bylaws, Amendments I <br />thereto, and the IRS Tax Exempt Status Letter. <br /> <br />D. Additional Parties.
