<br />Travel Expenses

<br />The CONTRACTOR shall be responsible for all travel costs encoured as a result of
<br />executing this contract
<br />
<br />VI. General Terms and Conditions
<br />
<br />A Independent Contractor
<br />
<br />It is agreed that nothing contained in this Agreement is intended or should be construed
<br />as creating the relationship of agents, partners, joint venturers, or associates between the
<br />parties hereto or as constituting CONTRACTOR as the employee of the CITY for any
<br />purpose or in any manner whatsoever. The CONTRACTOR is an independent contractor
<br />and neither it, its employees, agents nor representatives are agents of the CITY. From
<br />any amounts due the CONTRACTOR, there will be no deductions for federal income tax
<br />or FICA payments, nor for any state income tax, nor for any other purposes which are
<br />associated with an employer-employee reiationship unless required by law. Payment of
<br />federal income tax, FICA payments, and state income tax are the responsibility of the
<br />CONTRACTOR
<br />
<br />B. Indemnification
<br />
<br />CONTRACTOR shall indemnify, hold harmless and defend the CITY, its officials,
<br />employees and agents from any and all liability, loss, costs, damages, expenses, claims
<br />or actions, including attorney's fees, which the CITY, its officials, employees, and agents
<br />may hereafter sustain, incur or be required to pay, arising out of or by reason of any act
<br />or omission of CONTRACTOR, its agents or employees, in the execution, performance,
<br />or failure to adequately perform CONTRACTOR's obligations pursuant to this contract

<br />C. Insurance
<br />
<br />Insurance as acceptable to the Acting City Administrator shall be provided by the
<br />CONTRACTOR prior to any work commencing under this Agreement.
<br />
<br />D. Audit
<br />
<br />Until the expiration of three years after the furnishing of services pursuant to this
<br />Agreement, the CONTRACTOR, upon written request, shall make available to the CITY,
<br />the State Auditor, or the CITY's ultimate funding source, a copy of this Agreement, and
<br />the books, documents, records, and accounting procedures and practices of the
<br />CONTRACTOR relating to this Agreement.
<br />
<br />E. Cancellation
<br />
<br />The CITY may cancel this Agreement without cause by thirty (30) days' written notice to
<br />the CONTRACTOR The CITY may cancel this Agreement for cause upon written notice
<br />to the CONTRACTOR
<br />
<br />F. Non-Discrimination
<br />
<br />CONTRACTOR agrees that in the hiring of all labor for the performance of any work
<br />under this Agreement, that it will not by reason of race, creed, color, sex, national origin
<br />or disability, discriminate against any person who is a citizen of the United States and
<br />who qualifies and is available to perform the work to which such employment relates.
<br />CONTRACTOR agrees to comply with all Federal, State, and local non-discrimination
<br />
