<br />~ <br /> <br />VII. Costs: <br /> <br />e <br /> <br />The National Guard's use of the city hall complex under this agreement will be without cost <br />to the National Guard, except as otherwise provided for herein. <br /> <br />VIII. Termination: <br /> <br />A. Prior to transfer of the parcel to the City, either party may terminate this agreement with <br />or without cause by notifYing the other party in writing. Such notice will be delivered either in <br />person or by mail. <br /> <br />B. After the parcel is transferred to the City the Agreement may be terminated as follows: <br /> <br />1. The National Guard may terminate the Agreement at any time, with or without cause <br />upon 30 days written notice to the City. Such notice will be delivered either in person or by <br />mail. <br /> <br />2. Except as provided for by future agreement of the parties, pursuant to paragraph III. I. <br />Above, the City may terminate the National Guard's use of the office space and parking spaces <br />after the expiration of the five year period set out above, with or without cause, upon 30 days <br />written notice in writing to the National Guard. Such notice will be delivered either in person or <br />by mail. The City may not terminate the National Guard's use of the meeting and/or conference <br />rooms as provided for herein without the consent of the National Guard. <br /> <br />e <br /> <br />IX. Indemnification. <br /> <br />The City and National Guard mutually agree to indemnify and hold harmless each other from <br />any claims, losses, costs, expenses or damages resulting from the acts or omissions of the <br />respective officers, agents or employees relating to activity conducted by either party under this <br />Agreement. All such liability and indemnity shall be limited to the coverage provided by the <br />City or the National Guard's insurance carrier, if any, and if no coverage is provided, therefore, <br />by limits imposed by Minnesota Statute 466.04. <br /> <br />X. Entire Agreement/ Future Modification <br /> <br />The parties' entire agreement is contained herein. This Agreement supersedes all oral <br />agreements and negotiations between the parties concerning the subject matter of this <br />Agreement. Any modification of the terms of this agreement shall be valid only if in writing and <br />duly executed by an authorized representative of the parties. <br /> <br />e <br /> <br />4 <br />
