<br />" <br /> <br />7.2 The Contractor shall provide scale receipts ofthe recyclable materials <br />collccted in each district and a statement of verification that the scale <br />receipts reflect thc recyclable materials only collected in each particular <br />district. Rcceipts are due by the third of the month following collection. <br /> <br />e <br /> <br />8. Insurance <br /> <br />8.1 Prior to commcncement ofthis Agreement, the Contractor shall furnish the <br />City with certi ficates of insurancc for comprehensive general liability, <br />automobile liability and propcrty damage insurancc, to meet all City <br />insurance requirements. The policy shall req uire the Insurance Company to <br />notify the City in writing of any cancellation in coverage, at least ten (10) <br />days prior to cancellation. Any losscs to persons or property through this <br />project shall be the responsibility ofthe Contractor. The Contractor agrees <br />to indemnify the City from any and all liability or loss arising in any way out <br />of the performance of this contract. <br /> <br />9. Relationship of Parties <br /> <br />9.1 The parties intend that an independent Contractor-employee relationship will <br />be created by the contract. The City is interested only in the results to be <br />achievcd. The employees of the Contractor are not entitled to any of the <br />bcnefits that the City provides for its employecs. <br /> <br />. <br /> <br />10. Termination/Extension <br /> <br />10.1 If, in the City's opinion, the Contractor fails to carry out the services <br />diligently and on schedule, the City shall have the right to terminate the <br />agreement. Prior to termination, the City will give written notice of intent to <br />tenninate. This intent to tenninate shall be served upon the Contractor <br />thirty (30) days prior to termination, <br /> <br />10.2 If, at any time during the term of this contract significant changes to the <br />program occur (i.e.: use ofrecycling bins, frequency of pick up, addition of <br />new collectible materials, etc.. ..), the City and the Contractor mutually agree <br />that the contract will open for negotiation and/or unless negotiated <br />differently, will tenninate at thc end ofthat calendar year. <br /> <br />10.3 If, at the cnd of the term of this contract, the City and the Contractor <br />mutually agree on an extension of this contract, this agreement will remain <br />in effect until otherwise renegotiated. <br /> <br />. <br />
