In this Agreement, unless a different meaning clearly appears from the context: "Act" means Minnesota Statutes Chapter 469. "Agreement" means this Agreement, as the same may be from time to time modified, amended, or supplemented. . "City" means the City of New Brighton, Minnesota. "Concept Plans" means the plans, drawings and narrative descriptions for the improvements. "County" means the County of Ramsey. "Event of Default" means an action or failure to act by the parties listed in Section 9. I of this Agreement. "Minimum Redevelopment Property" means that portion of the Redevelopment Property known as the Mengelkoch Property and the Mid-West Asphalt Property as shown on the attached Exhibit A. "Ryan" means Ryan Companies .uS, Inc. and its permitted successors and assigns. "Redeveloper" means Ryan Companies US, Inc. and its permitted successors and assigns. "Redevelopment Property" or "Property" means the real property described and shown on attached Exhibit A. "State" means the State of Minnesota. "Unavoidable Delays" means any delay which is beyond the reasonable control of the party claiming its occurrence, including without limitation those delays which are the direct result of strikes, other labor troubles, labor shortages, unavailability or delay in receiving materials, unusually severe or prolonged bad weather, Acts of God, fire or other casualty, litigation commenced by third parties which, by injunction or other similar judicial action, directly results in delays, or acts of any federal, state or local governmental unit which directly result in delays. Section 1.2 Exhibits. Exhibit A (Redevelopment Property Description/Site Plan) and Exhibit B (Schedule of City Work) are attached to and made a part of this Agreement. 2
