<br />Mar ]9 2m 1232PM <br /> <br />No.2)30 P, 6/20 <br /> <br />Section 1.3 Rules of Interpretation. <br /> <br />. <br /> <br />(a) This Agreement shaJl be interpreted in accordance with and governed by the laws <br />of the State of Minnesota; <br /> <br />(b) The words "herein" and "hereof' and words of similar importance, without <br />reference to any particular section or subdivision, refer to this Agreement as a <br />whole rather than any particular section or subdivision hereof; . <br /> <br />(c) Any titles of the several parts, articles and sections of this Agreement are inserted <br />for convenience and reference only and shall be disregarded in construing or <br />interpreting any of its provisions. <br /> <br />ARTICLE II <br /> <br />REPRESENT A TIONS <br /> <br />Section 2.1 Representations bv the Redeveloper. The Redeveloper represents and <br />warrants that: <br /> <br />(a) <br /> <br />The Redeveloper is a corporation organized and in good standing under the laws <br />of the State of Minnesota, is not III violation of any provisions of its articles of <br />incorporation and bylaws or the laws of said State, has power to enter into this <br />Agreement and has duly authorized the execution, delivery and performance of <br />this Agreement by proper action ofthe board of directors. <br /> <br />. <br /> <br />(b) There are no pending or threatened legal proceedings of which the Redeveloper is <br />aware which, if successful, would threaten the economic viability of the <br />Redeveloper or the validity or enforceability of this Agreement or which would <br />restrain or enjoin the'transactions contemplated by this Agreement. <br /> <br />(c) Neither the execution and delivery of this Agreement, the consummation of the <br />transactions contemplated hereby, nor the fulfillment of or compliance with the <br />terms and conditions of this Agreement is prevented, limited by or conflicts with <br />or results III a breach of, the terms, conditions or provisions of any corporate <br />restriction or any evidences of indebtedness, agreement or instrument of whatever <br />nature to which the Redeveloper is now a party or by which it is bound, or <br />constitutes a default under any of the foregoing. <br /> <br />Section 2.2 Representations bv City The City represents and warrants that: <br /> <br />(a) The City is a public body corporate and politic with all the powers of a city duly <br />organiz:ed and existing under the laws of the State of Minnesota.
