<br />J. <br /> <br />Entire Agreement. This Interim Agreement contains the cntire agreement <br />of the parties with respect to the matters covered by this Interim Agrcement <br />and no other statement or representation by any employee, officer or agent of <br />any party, which is not contained in this Interim Agreement, shall be binding <br />or valid. <br /> <br />. <br /> <br />K. Modification. This Intcrim Agreement is not subject to modification except <br />in writing. <br /> <br />L. Interpretation. This Intcrim Agreement has been negotiated by and bctween <br />the representatives of both parties, all persons knowledgeable in the subject <br />matter of this Interim Agrecment, and each party had the opportunity to have <br />the Interim Agreement reviewed and drafted by their rcspective legal counsel. <br />Accordingly, any rule of law or legal decision that would require <br />interpretation of any ambiguities in this Interim Agreement against the party <br />that has drafted it is not applicable and is waived. The provisions of this <br />Interim Agreemcnt shall be interpreted in a reasonablc manner to effect the <br />purpose of the parties and this Interim Agreement. <br /> <br />M. <br /> <br />Captions. Titles or captions of sections and paragraphs contained in this <br />Interim Agrecment are inserted only as a matter of convenience and for <br />reference, and in no way define, limit, extend or describe the scope of this <br />Interim Agreement or the intent of any provisions. <br /> <br />. <br /> <br />N. Relationship of Parties. Nothing in this Interim Agreemcnt shall create a <br />joint venture, partnership, or principal-agcnt relationship between the parties. <br /> <br />O. Waiver. No waiver of any right or obligation of either party hereto shall be <br />effcctive unless in a writing, specifYing such waiver, executed by the party <br />against whom such waiver is sought to bc enforced. A waiver by either party <br />of any of its rights under this Interim Agrccmcnt on any occasion shall not be <br />a bar to the cxercise of the same right on any subsequent occasion or of any <br />other right at the timc. <br /> <br />P. Counterparts. This Interim Agreement may be executed in two counterparts, <br />cach of which shall be deemed an original, but both of which shall bc deemed <br />to constitute one and the same instrument. <br /> <br />. <br /> <br />10 <br />
