OFFICE SPACE AND COMPENSATION Office Space Arden Hills will provide the Coalition with office space in its city hall for the purpose of operating its GIS Coordination function, Such space shall be comprised of an office measuring approximately 150 square feet and shall include office furniture currently in place or that which the city in its sole determination permits Coalition and/or its GIS Coordinator to use. The office will be cleaned periodically as part of the normal city hall maintenance plan. Internet connection service will be provided, however the Coalition will assume all costs associated with said Internet operation, Further, the Coalition will be able to use conference rooms for meetings, however the city reserves the right to use said spaces on a priority basis, The City of Arden Hills shall retain the sole right to determine whether or not said office space shall remain available for the Coalition's use, Ifit its sole discretion the City of Arden Hills determines that it needs the office space for its own use it shall just the Coalition sixty (60) days written notice to vacate the office space and return same to the city. The City of Arden Hills will provide Coalition with keys to the office space and Coalition shall have the ability to secure the office and Coalition will surrender all such keys to the office upon the termination ofthis Agreement. Compensation and Method ofPavment. The Coalition shall compensate Arden Hills monthly for said office space in the amount of$200.00 and shall forward said payment to the attention of the City Administrator. The first payment shall be due and payable on or about February 15,2002 and each month thereafter until this Letter of Understanding is terminated as set forth herein. ARTICLE m. TERMS AND CONDITIONS Term. This Letter of Understanding shall be effective from the date of execution below and remain in effect until said Agreement is terminated as set forth below, Al!reement Modification. The terms of this Agreement may be changed or modified by mutual agreement of Arden Hills and the Coalition. Such amendments, changes or modifications shall be effective only on the execution of written amendment(s) signed by both Arden Hills and the Coalition, ARTICLE VII. MISCELLANEOUS PROVISIONS Authorized Al!ents. Arden Hills's authorized agent for the purposes of executing and administering this agreement shall be its City Administrator, or another designated Arden Hills employee or agent.
