WITHDRAWAL <br /> <br />9.1 <br /> <br />A Party may withdraw from participation in the Agreement no later than 30 days <br /> <br />after the adoption of the budget by giving written notice to the secretary-treasurer of the <br /> <br />Operations Committee. The notice shall be accompanied by a certified copy of a resolution <br /> <br />adopted by the city council of that Party authorizing withdrawal from membership. The <br /> <br />withdrawal is effective at the end of the calendar year in which notice is given. <br /> <br />9.2 The withdrawal of a party does not affect that Party's obligation to pay fees, <br /> <br />charges or contractual charges for which it is obligated nnder this Agreement. <br /> <br />X. DURATION AND TERMINATION <br /> <br />10.1 This Agreement continues in effect indefinitely nntil terminated in accordance <br /> <br />with its terms. <br /> <br />10.2 The Operations Committee may be dissolved and this Agreement terminated upon <br /> <br />adoption of resolutions providing for termination by the city conncils of two-thirds of the Parties <br /> <br />then in good standing. This Agreement shall also be terminated and the Operations Committee <br /> <br />dissolved upon the withdrawal of all Parties leaving only one Party remaining. <br /> <br />10.3 In the event of dissoiution, the Operations Committee will determine the measures <br /> <br />necessary to effect the dissolution and provide for the taking of such measures as promptly as <br /> <br />circumstances permit, subject to the provisions of this Agreement and law. <br /> <br />10.4 In the event of dissolution, following the payment of all outstanding obligations, <br /> <br />assets held by the Operations Committee will be distributed among the then existing members in <br /> <br />direct proportion to their cumulative annual membership contributions. If obligations exceed the <br /> <br />assets of the Operations Committee, the net deficit of the Operations Committee will be charged <br /> <br />to and paid by the then existing members in direct proportion to the annual membership <br /> <br />contributions of the year of dissolution. <br /> <br />CLL-219977vl <br />NE136.21 <br /> <br />6 <br />
