<br />10.5 At the time of a contribution in kind by a Party, the Operations Committee may <br /> <br />. <br /> <br />make such commitments as it deems reasonable for the return of the property to that Party in the <br /> <br />event of withdrawal by the Party or dissolution of the organization. <br /> <br />XI. OPERATION AND MAINTENANCE OF <br />HAZARDOUS MATERIALS RESPONSE VEHICLE <br /> <br />11.1 Management of the vehicle, that is, selection of supplies and equipment, exterior <br /> <br />vehicle color and markings, configuration and type of all equipment monnted on and within the <br /> <br />HMRV, and all other day-to-day operational activities needed to fully implement this agreement, <br /> <br />is vested in an Operations Committee. <br /> <br />11.2 The Operations Committee may determine that one Party will maintain registered <br /> <br />ownership of the vehicle and maintain motor vehicle insurance on it. To the extent anyone Party <br /> <br />bears insurance costs on the vehicle its costs shall be reimbursed or recognized as a contribution <br /> <br />by the Operations Committee. <br /> <br />. <br /> <br />11.3 Furnishing of Specialized Equipment. The Parties' representatives will confer and <br /> <br />agree upon the specific type and quantities of specialized hazardous materials equipment, <br /> <br />supplies, personnel protective gear, and ancil1ary items necessary to equip the vehicle. The <br /> <br />Parties agree to share the cost of these items and the expense of furnishing cabinets or other <br /> <br />interior fixtures needed in the vehicle in accordance with paragraph 8.3. <br /> <br />11.4 Replacing Equipment and Supplies. Unless otherwise agreed to by all Parties' <br /> <br />representatives, equipment and supplies used from the vehicle shall be replaced promptly by the <br /> <br />party who used and expended the items. If a Party fails promptly to replace the items, the other <br /> <br />Parties may make the replacement and invoice the defaulting Party for such costs. It is intended <br /> <br />that the vehicle shall be fully equipped at all times with the equipment and supplies agreed to by <br /> <br />the Parties. <br /> <br />. <br /> <br />CLL-219977v I <br />NE136-2! <br /> <br />7 <br />
