DRAFT

1.

That a road would be constructed through Transfer Area B in
order to connect Transfer Areas C and E; and

.

2. That a bridge and road would be constructed over Rice Creek in
order to allow the connection of Transfer Areas C and D to County
Road I.

3.0 Terms and Conditions. NOW, THEREFORE, in reliance upon the representations
and in consideration of the mutual undertakings herein expressed, the parties
agree:

A. The City approves the Wildlife Corridor Amendment and consents to the
County's acquisition of an interest in Transfer Area B, subject to the
following conditions:

1. Prior to or concurrent with the County's acquisition of an interest
in Transfer Area B:

(a)

The County will provide to the City a road/bridge access
and utility easement across Rice Creek near 1-35W (in the
approximate location of the existing County Road H bridge)
in dimensions that would allow the cOnstruction of a
normal city street and would allow the City to link Transfer
Areas C and D. The road design, subject to review and
approval by the County, shall accommodate unrestricted
wildlife movement, drainage functions and human
recreational travel under the road. The cost of design and
construction and of the road will be borne by the City
and/or developer; and

.

(b) The County will join with the City to request that the
National Guard provide to the City a road easement from
Transfer Area E to County Road I. In the event that the
National Guard does not grant a road easement from
Transfer Area E to County Road I, the County will permit
the City to construct a road through Transfer Area B,
generally located on the alignment of the existing
north/south road. The road design, subject to review and
approval by the County, shall incorporate an elevated
section of sufficient height and width to accommodate
unrestricted wildlife movement, drainage functions and
human recreational travel under the road. The cost of
design and construction of the road will be borne by the
City and/or developer; and

.

2
