7.2 The Contractor shall provide scale receipts of the recyclable materials collected, . 8. Insurance 8.1 Prior to commencement of tbis Agreement, the Contractor shall furnish the City with certificates of insurance for comprehensive general liability, automobile liability and property damage insurance, to meet all City' insurance requirements. The policy shall require the Insurance Company to notifY the City in writing of any cancellation in coverage, at least ten (10) days prior to cancellation. Any losses to persons or property through tbis project shall be the responsibility of the Contractor. The Contractor agrees to indemnifY the City from any and all liability or loss arising in any way out of the performance oftbis contract, 9, Relationship of Parties 9.1 The parties intend that an independent Contractor-employee relationsbip will be created by the contract. The City is interested only in the results to be acbieved, and the conduct and control of the City for any purpose, and the employees of the Contractor are not entitled to any of the benefits that the City provides for its employees, . 10. TerminationlExtension 10, 1 If, in the City's opinion, the Contractor fails to carry out the services diligently and on schedule, and in a quality manner, the City shall have the right to terminate the agreement. Prior to termination, the City will give written notice of intent to terminate, This intent to terminate shall be served upon the Contractor thirty (30) days prior to termination. 10.2 If, at any time during the term of tbis contract significant changes to the program occur (i,e.: use of recycling bins, frequency of pick up, addition of new collectible materials, etc..,), the City and the Contractor mutually agree that the contract will open for negotiation and! or unless negotiated differently, will terminate at the end of that calendar year. 10.3 If, at the end of the term oftbis contract, the City and the Contractor mutually agree on an extension of tbis contract, tbis agreement will remain in effect until otherwise renegotiated. .
