<br />. <br /> <br />Memo to Mayor and Couneil <br />Ramsey County Joint Maintenance Facility Agreement <br />Oetober 15, 2003 <br />Page 2 of2 <br /> <br />. <br /> <br />~ Our space can only be sold to another unit of government which will need to be approved <br />by Ramsey County. This approval will not be unreasonably withheld. <br /> <br />~ The Operations Cornmittee shall consist of each entities highest appointed official or their <br />designee. Ramsey County will have a majority of the votes on the Committee. The <br />Operations Committee will be responsible for overall faeility operations including <br />budgeting, common area maintenance, adopting rules and regulations governing the use <br />of the facility, and for capital improvements. Day-to-Day operations will be delegated to <br />Ramsey County Property Management. <br /> <br />~ The approach to operating costs is similar to what was previously proposed. Each partuer <br />will pay operating costs relative to the amount of square footage for a partieular space <br />type. <br /> <br />~ The agreement may be terminated by mutual consent of the parties. No party may <br />terminate the agreement for the first ten yeats. This will ensure that the best effort has <br />been made to "live" together in a cooperative manner. After ten years, the City may <br />unilaterally terminate the agreement with twelve months written notiee. Assuming that . <br />the city cannot [md another governmental entity to purchase the spaee, upon termination <br />and twelve months notice the space would revert back to the County. <br /> <br />Overall, staff is comfortable with the agreement and feels that it appropriately addresses the <br />City's primary concerns. The City Attorney was an active participant in the drafting and <br />negotiation of the agreement as well. If Council is comfortable with the attached agreement, I <br />would request that it be plaeed on the October 27,2003 Council agenda for consideration. <br /> <br />Requested Action <br /> <br />1.
