<br />~ <br />~~HILLS <br /> <br />MEMORANDUM <br /> <br />. <br /> <br />DATE: <br /> <br />September 13, 2004 <br /> <br />TO: <br /> <br />City Council <br /> <br />FROM: <br /> <br />Scott Clark, Community Development Director <br /> <br />SUBJECT: <br /> <br />Proposed Agreement <br /> <br />The following memo outlines business concept points that have been discussed <br />between CRR, LLC and staff (City Attorney Filla, Michelle Wolfe and Scott Clark). <br />Council may have a previous copy of Interim Draft #10, which is being used as a base for <br />negotiations, but the current thought is that an entirely new interim agreement would be <br />written as opposed to amending the old. Staff will be referencing, within this report, <br />particular language within Draft # 10 for sake of simplicity. The intended course of action <br />will be for the Council to discuss these concepts at the City Council meeting, Monday <br />September 13,2004 at 5:30 p.m. Council will then have the opportunity to discuss issues <br />with CRR the same night as the Council's post-meeting Work Session agenda consists of <br />TCAAP related issues. Note: After each section is a statement as to whether staff is <br />recommending the suggested changes or whether this is still an open issue due to either <br />concerns with the concept or the necessity of agreeing to language. <br /> <br />. <br /> <br />Expiration Date: <br /> <br />11 has been proposed that the new Interim Agreement (Agreement) run two years <br />with a one year extension provided that neither party is in default. It should be <br />remembered that the Interim Agreement (and the commensurate time period) defines the <br />roles of both parties with the end goal of a Disposition and Development Agreement <br />(DDA). Once the DDA is complete and the Early Transfer is completed the Interim <br />Agreement is terminated.
