8.0 Validity. If any portion, section, subsection, sentence, clause or paragraph of this <br />Agreement is for any reason held to be invalid, such decision shall not affect the validity <br />of the remaining portions of this Agreement. <br />9.0 Recording. This Agreement or a Memorandum Summary thereof shall be recorded with <br />the county recorder and the Developer shall provide and execute any and all documents <br />necessary to implement the recording. <br />10.0 Binding Agreement. The parties mutually recognize and agree that all terms and <br />conditions of this recordable Agreement shall run with the subject Property, and shall be <br />binding upon the heirs, successors, administrators and assigns of the Developer. <br />11.0 Contract Assignment. The Developer may not assign this Agreement, except to an entity <br />controlled by the Developer without the written permission of the City Council. The <br />Developer's obligations hereunder shall continue in full force in effect, until completion <br />of the terms of this Agreement. <br />12.0 Governing Law. This Agreement shall be governed by and construed in accordance with <br />the State of Minnesota. <br />13.0 Counterparts. This Agreement may be executed in any number of counterparts, each of <br />which shall be deemed an original, but all of which shall constitute one in the same <br />instrument. <br />14.0 Headings. The subject headings of the paragraphs and subparagraphs of this Agreement <br />are included for purposes of convenience only, and shall not affect the construction or <br />interpretation of any of its provisions. <br />15.0 Access. The Developer hereby grants to the City, its agents, employees, officers and <br />contractors, a license to enter upon the subject Property to perform all work and <br />inspections deemed appropriate by the City during the redevelopment of the Property. <br />9 <br />
