Buyer shall not be liable for any existing conditions on the Property, provided the Property is restored to the condition as it exists on the date hereof. 9. REPRESENTATIONS BY SELLER. Seller represents and warrants to Buyer as follows: a. Ownership. Seller is the sole owner of, and has fee simple title to, the Property. b. Authority. Seller has the requisite power and authority to enter into and perform its obligations under this Option. This Option shall be deemed a valid and binding obligation of Seller, enforceable according to its terms and conditions. 10. NOTICE. Any notice required or permitted under this Agreement shall be deemed given if delivered by personal delivery upon a party or its authorized representative; or if deposited in the United States mail, postage pre-paid and sent certified mail, return receipt requested; or if deposited with a nationally recognized overnight courier, with costs pre-paid.
