<br />courier or personally delivered upon a party or its authorized representative, all as provided <br /> <br />above. <br /> <br />11. ASSIGNMENT. Buyer shall have the right to assign this Option to an entity <br /> <br />controlled by Buyer. Any other assignment shall require the written consent of Seller, which <br /> <br />consent shall not be unreasonably withheld or delayed. Seller may not assign or transfer his <br /> <br />interest in the Option without the prior written consent of Buyer, which consent shall not be <br /> <br />unreasonably withheld or delayed. Upon such assignment, both the assignee and assignor shall <br /> <br />be subject to the terms and conditions of this Option, unless the parties agree otherwise. <br /> <br />12. ENTIRE AGREEMENT. This document constitutes the entire agreement <br /> <br />between the parties. No representations, warranties or promises pertaining to this Agreement or <br /> <br />the Property shall be binding on any of the parties, except as expressly stated herein. This <br /> <br />Agreement may not be changed orally, but only by an agreement signed by the parties. <br /> <br />13. HEADINGS. Headings in this Agreement are for convenience only and shall not <br /> <br />be used to interpret or construe its provisions. <br /> <br /> <br />14. GOVERNING LAW. This Agreement shall be governed by and construed in <br /> <br /> <br />accordance with the laws of the State of Minnesota, irrespective of the domicile of the parties. <br /> <br /> <br />15. SURVIVAL. The warranties and representations contained herein shall survive <br /> <br />the Closing and delivery of the Deed provided, however, that no action, in law or in equity, <br /> <br />alleging breach of the warranties and representations herein shall be commenced more than one <br /> <br />year from the date of Closing. <br /> <br />16.
