Amendment to the Refuse and Recycling Service Agreement This Amendment is made and entered into this day of July, 2012 by and among the City of Centerville, a an incorporated city in the State of Minnesota, hereinafter referred to as "City ", and Waste Management of Minnesota, Inc., hereinafter referred to as "Contractor". WHEREAS, the City and the Contractor are parties to a current Contract dated February 1, 2003; and WHEREAS, the City and the Contractor wish to extend the original agreement for 5 (five) additional years with an optional 2- additional years, effective February 1, 2013, and WHEREAS, the contract was amended in 2009, and WHEREAS, with the exception of modifications as listed herein, the parties desire that all other terms and conditions of the contract as modified in 2009, remain in full force and effect. NOW THEREFORE, in consideration of the mutual promises and agreements herein set forth, the City and the Contractor agree as follows: EFFECTIVE January 1, 2013 1) Contract Term: The term of this agreement shall be extended for five years beginning January 1, 2013 with an option for two additional years. An additional 2 -year extension is available after the fifth year, if both parties agree. 2) Rates: The monthly rates will be as follows: Services 2013 2014 2015 2016 2017 Seniors -32 gallon $7.49 $7.60 Rates increase according to CPI not to exceed 3% 32 gallon $8.47 $8.60 Rates increase according to CPI not to exceed 3% 64 gallon $12.66 $12.85 Rates increase according to CPI not to exceed 3% 96 gallon $17.09 $17.35 Rates increase according to CPI not to exceed 3% Recycling* $4.20 $4.26 Rates increase according to CPI not to exceed 3% Vacation Rate $4.00 *Recycling Material Offset continues as defined in the February 1, 2003 agreement, and as modified in the 2009 contract extension. 7/5/2012 Page 1 of 2
