City of Centerville <br />Council Meeting Minutes <br />May 25, 2017 <br />Motion by Council Member Love, seconded by Council Member Koski to Authorize <br />City Attorney to Prepare a Draft Ordinance for the Personnel Committee. <br />Council Member Koski questioned the proposal for HueLife and proceeding forward. <br />Council Member Love amended his motion to include the tabling of Hue/Life <br />Proposal. Council Member Koski accepted the friendly amendment. <br />Council Member Koski questioned whether two (2) separate motions needed to be made. <br />Council Member Koski questioned establishing a Personnel Committee prior to <br />contracting services with the Committee making recommendations to the full Council. <br />Council Member King stated that he does not want to just consider one (1) consultant if <br />Council choses to hire for services. <br />All in favor. Motion carried. <br />IX. OLD BUSINESS <br />1. Ruffridge Johnson Equipment Company, Purchase Agreement — 2065 <br />Commerce Drive <br />Attorney Glaser stated that he has been working with Ruffridge Johnson Equipment <br />Company, their Staff and owners Mr. & Mrs. Pederson regarding the new purchase <br />agreement. He stated that the purchase agreement is the same as the previous one with <br />conditions of a one (1) year period and obligation to buy the City's property if the 1031 <br />exchange property is sold. <br />Council had concern regarding 10 days rather than seven (7) days and Attorney Glaser <br />stated that was an informality and closing would occur simultaneously. <br />Motion by Council Member Montain, seconded by Council Member Love to <br />Approve the Purchase Agreement as Presented. <br />Discussion ensued regarding whether if they sell their property without utilizing the 1031 <br />what ramifications does the City have, if selling utilizing the 1031 exchange they must <br />purchase and close within six (6) months another parcel/building, not binding forever <br />through the agreement, concern that if he is offered more money for their current <br />property and not through their existing purchase agreement with Oppiden they would not <br />have to purchase the City's property and the City Attorney's belief that Ruffridge <br />Johnson's attorney addressed the City's concerns correctly. <br />All in favor.
