" c()ll1mitt~e? made up of the ad.fI1inistr"tors fr()m each <br />Member City and the Police Chief as an Ex-Officio member, that meets for the purpose of <br />providing day to day oversight and coordination ofthe Police Department operation, supervision <br />and support of the Police Chief, and advice and counsel to the Governing Board <br /> <br />SECTION III <br />ORGANIZATION <br /> <br />3.1 Establishment. There is hereby established the "Department" to be managed through a three <br />(3) tier system. The management tiers will be as follows: A Governing Board, Operations <br />Committee and a Chief of Police. <br /> <br />The Chief of Police is an appointed position. Appointment and contract require the <br />approval of all member cities. In the event that the member cities are unable to agree on a person <br />to fill the position of Chief of Police, the Governing Board by maj ority vote shall appoint an <br />acting Chief of Po lice. Specific personnel issues for the Chief of Police will be covered by the <br />contract and/or Rules and Regulations Policies - Joint Powers Police Department, adopted by the <br />Governing Board. <br /> <br />3.2 The Board meeting will rotate between the member cities or an agreed upon <br />location. <br /> <br />3.3 Quorum. Four (4) of six (6) regular Governing Board members during special or quarterly <br />meetings shall constitute a quorum, provided that at least one (1) Governing Board member shall <br />. be present from each city. In the event of financial default, the quorum will be reduced to three <br />(3) Governing Board members present, with at least one (1) from each city not in default. <br />Governing Board members from cities in default shall not count toward a quorum. <br /> <br />3.4 Voting. Each Governing Board member present at the meeting shall be entitled to one (1) <br />vote. Unless otherwise provided in this agreement, the Governing Board may take action on any <br />issue by a majority vote ofthose members present and entitled to vote at a duly called meeting, <br />subject to the quorum requirement of Section 3.3. . <br /> <br />There shall be no voting by proxy. Votes must be cast at a Governing Board meeting by a <br />Governing Board member. Governing Board members from cities in financial default are not <br />eligible to vote. <br /> <br />3.5 The parties agree that there shall be established a Governing Board consisting of six (6) <br />members to be selected as follows: <br /> <br />a) Two elected officials to be appointed by each City Council of each member city, <br />according to the procedure which each Council shall determine. <br /> <br />- 2- <br /> <br />. { Formatted: Underline <br />
