<br />COST-SHARE AGREEMENT <br />City of Centerville and Rice Creek Watershed District <br /> <br />LaMotte Park Stormwater Reuse Irrigation Expansion Project <br /> <br />THIS AGREEMENT is made and entered into by and between the City of Centerville, Minnesota, <br />a <br />purpose unit of local government under Minnesota Statutes Chapters 103B and 103D <br /> <br />LaMotte Park Stormwater Reuse <br /> <br />WHEREAS, the District desires to provide the City cost-share assistance for the Project. <br />THEREFORE, the District and City, duly authorized by their respective governing bodies, agree as <br />follows: <br />Section A: Construction of the Project <br />1. The City is responsible for letting all contracts to construct the Project in accordance <br />with all applicable laws. The City is responsible for administering contracts and for <br />overseeing the work. <br />2. The City will obtain all permits required to construct the Project, including a permit from <br />the District. <br />3. The District and City will collaborate to design and erect public information and <br />educational signage in a mutually-agreed location, in conformance with reasonable size <br />and location conditions. The City will maintain the signage for the duration of required <br />Project maintenance under this Agreement. <br />4. The District is not responsible for any part of the cost of the Project, including but not <br />limited to design, permits, construction and signage, except for the amount stated in <br />paragraph 10, below, and its own costs to meet its responsibilities under this <br />Agreement. <br />5. The City will defend and indemnify the District, its managers and its employees; and <br />hold the District, its managers and its employees harmless; from any and all actions, <br />costs, damages and liabilities of any nature to the degree they are the result of any <br />action or omission of the City in the design, construction or maintenance of the Project <br />that is t <br /> <br />Section B: Ownership and Maintenance Responsibilities <br />6. The Project, once completed, will consist of a stormwater reuse irrigation system <br />expansion that conforms to Exhibit A, including Base Bid, Alternate No. 1 and Alternate <br /> <br />
