Section 4. Order of Business. At the regular meetings of the Board the following <br />shall be the order of business: <br />1.Call to Order/Roll call. <br />2.Approval of Agenda <br />3. Approval of the minutes of previous meeting. <br />4. Bills and communications. <br />5 Reports. <br />6. Old business. <br />7. New business. <br />8. Adjournment. <br />All resolutions shall be written or transcribed and shall be retained in the journal of the <br />proceedings maintained by the Secretary. <br />Section 5. Adoption of Resolutions. Resolutions of the Board shall be deemed <br />adopted if approved by not less than a simple majority of all Commissioners present, unless a <br />different requirement for adoption is prescribed by law. Resolutions may but need not be read <br />aloud prior to vote taken thereon and may but need not be executed after passage. <br />Section 6. Rules of Order. The President shall preserve order, enforce the rules of <br />procedure herein prescribed and determined without debate, subject to the final decision of the <br />Commission on appeal, all questions of procedure and order. The Vice-President shall support and <br />assist the Chairperson; preside over the Commission meetings in the absence of the President; and fill the <br />office of the President if a vacancy should arise <br />ARTICLE IV – MISCELLANEOUS <br />Section 1 Amendments to Bylaws. The bylaws of the Authority shall be amended <br />only by resolution approved by at least three of the members of the Board. Amendments to the <br />bylaws must be approved by the City Council. <br />Section 2. Fiscal Year. The fiscal year of the Authority shall coincide with the <br />fiscal year of the City of Centerville, Minnesota. <br />Section 3. Effective Date of Office for Appointed Commissioners. A term of office <br />for each Commissioner appointed to the Authority by the City Council shall begin that term of <br />office effective August 1st. Any Commissioner appointed to fill a seat vacated by a <br />Commissioner who did not complete their term of office shall complete the term of office of the <br />vacating Commissioner. <br />Adopted on August 27, 2018. <br />3 <br /> <br />
