PROFESSIONAL SERVICES AGREEMENT <br />BY AND BETWEEN <br />THE CITY OF CENTERVILLE, MINNESOTA <br />AND <br />NORTHLAND SECURITIES, INC. <br />FINANCIAL PLANNING SERVICES <br />This Agreement made and entered into by and between the City of Centerville, Minnesota <br />(hereinafter "City") and Northland Securities, Inc., of Minneapolis, Minnesota (hereinafter "NSI"). <br />WITNESSETH <br />WHEREAS, the City proposes to use Tax Abatement for the purposes provided for in Minnesota <br />2º§º»º«¹ȍɎ2«©º¯µ´¹ɎŷŹżȌŴŻŴŵɎº®¸µ»­®ɎŷŹżȌŴŻŴŸȍɎ§¹Ɏ§³«´ª«ªɎȘº®«ɎȠ ©ºȡșɎ§´ªɎºµɎ»¹«Ɏº®«Ɏ¹«¸¼¯©«¹Ɏµ¬Ɏ <br />NSI for financial planning assistance related to the review and establishment of the Tax <br /> ¨§º«³«´ºɎºµɎ¶¸µ¼¯ª«Ɏ¬¯´§´©¯§²Ɏ§¹¹¯¹º§´©«ɎºµɎ§Ɏ¶¸¯¼§º«Ɏª«¼«²µ¶«¸ɎȘº®«ɎȠ#«¼«²µ¶«¸șɎµ¬Ɏ§Ɏ³»²º¯ɉ <br />¬§³¯²¿Ɏ§¶§¸º³«´ºɎ¨»¯²ª¯´­ɎȘº®«ɎȠ/¸µ°«©ºȡșȏɎ§´ªɎ <br />WHEREAS, the Project is intended solely for financial planning and NSI is not providing advice <br />on the timing, terms, structure, or similar matters related to a specific bond issue; and <br />WHEREAS, NSI desires to furnish services to the City as hereinafter described. <br />NOW, THEREFORE, it is agreed by and between the parties as follows: <br />SERVICES TO BE PROVIDED BY NSI <br />The scope of work to be performed by NSI is based on the following factors: <br />1.The City requires financial services to assist with consideration of a request for Tax <br />Abatement to provide financial assistance for the Project. <br />2.The City desires to consider the request and complete an analysis of financial assistance <br />options and prepare for possible authorization of Tax Abatement pursuant to the Act. <br />NSI will undertake the following tasks: <br />The scope of work will undertake the process to establish the Tax Abatement. Legal services to <br />review documents, and any related contracts with third parties, is not provided by NSI and are <br />not subject to this agreement. NSI will provide the following services: <br />1.Collect from the City and the Developer to analyze data for the establishment of the Tax <br />Abatement, including, but not limited to: <br />2.Calculate the maximum amount of new Tax Abatement, based on limitations in the Act, the <br />City may be authorized to approve. <br />Professional Service Agreement Page 1 <br />29 <br /> <br />
