<br />,. . <br /> <br />,:. . <br /> <br />, <br /> <br />RESOLUTION AND FINAL ORDER <br /> <br />The Governing Board of Memorial Hospital District in Forest Lake (the <br />"Governing Board") met on November 9, 2006 at a special meeting. The Governing <br />Board, after having reviewed, discussed and considered issues concerning the proposed <br />dissolution of Memorial Hospital District in Forest Lake (the "Hospital District''), hereby <br />makes the following Resolution and Final Order of Dissolution: <br /> <br />RECITALS AND FINDINGS <br /> <br />A. The Hospital District was duly formed pursuant to applicable Minnesota Statutes in <br />1960 and has existed as a district hospital since that date. <br /> <br />B. On or about January 1, 1995, the Hospital District and Fairview Hospital and Health <br />Care Services ("Fairview") entered into an Affiliation Agreement and a Lease <br />Agreement ("Lease Agreement"). The Lease Agreement, among other things, <br />provided that Fairview would take possession of the Hospital District's facility in the <br />City of Forest Lake (the "Hospital Facility"). In addition, the Lease Agreement <br />granted Fairview the option to purchase the Hospital Facility and related assets. <br /> <br />C. Since the date of the Lease Agreement, Fairview has opened and continues to operate <br />a regional health care facility in Wyoming, Minnesota (the "Regional Facility"). <br /> <br />D. In February 2006, the Hospital District conveyed title to the Hospital Facility and <br />related assets to Fairview pursuant to an earlier exercise by Fairview of its option to <br />acquire the same. <br /> <br />E. Following the conveyance referred to in the immediately preceding Recital and <br />Finding, the Hospital District received a Petition for the Dissolution of the Hospital <br />District which had been adopted pursuant to a Resolution by the Hugo City Council <br />on or about June 19, 2006 (the "Petition for Dissolution"). <br /> <br />F. The Governing Board finds that upon the conveyance of the Hospital Facility and <br />related assets referred to in Recital D, all property of the Hospital District, except <br />certain funds (the "Remaining Funds"), have been disposed of, or will be disposed of <br />at the time of the distribution of Remaining Funds as set forth elsewhere herein. <br /> <br />G. The Board hereby specifically finds that as a result of the opening and continued <br />operation of the Regional Facility, and the conveyance to Fairview of the Hospital <br />Facility and related assets, the conditions which originally existed for the creation of <br />the Hospital District no longer exist and that the dissolution of the Hospital District is <br />appropriate under the circumstances. <br /> <br />H. The Petition for Dissolution contained a proposal. for the distribution of the remaining <br />funds of the Hospital District in accordance with Minn. Stat. ~7.38.
