<br />DISTRIBUTION OF EQUIPMENT UPON TERMINATION <br />OR <br />DISSOLUTION <br /> <br />14.1 Process. <br /> <br />a) Upon dissolution, termination or withdrawal from this Agreement by a member, or <br />members, the following procedure sha1l5e used to distribute the equipment and <br />personal property of the Department, and other related equipment. Distribution will <br />occur only after all Department debts and long term expenses have been satisfied. <br /> <br />b) All property and equipment will be sold. <br /> <br />c) In addition, the financial records of the Department will be reviewed for the life of the <br />agreement or for the last 15 years, whichever is less, to determine the total dollar value <br />of contributed equipment and other payments made by each member city. The Police <br />Commission will then determine the percentage of the total paid by each member city. <br /> <br />The percentage of the total contributions over the applicable period will then be <br />multiplied times the total dollars arrived at by sale of all equipment and personal <br />property of the Department less any debts, and then distributed to the cites. <br /> <br />SECTION XV <br />COUNTERPARTS <br /> <br />15.1 This agreement may be executed in several counterparts and so executed shall constitute <br />one agreement, binding on all of the parties hereto notwithstanding that all of the parties are not <br />signatory to the original or the same counterpart. <br /> <br />SECTION XVI <br />AMENDMENT <br /> <br />16.1 Modification. This agreement sets forth all understandings between the parties. All prior <br />agreements, understandings, representations whether consistent or inconsistent, verbal or written, <br />concerning this agreement, are merged into and superseded by this written agreement. No <br />modification or amendment of this agreement shall be binding on any city unless each city <br />agrees in writing to the proposed change or amendment. <br /> <br />16.2 Submittal. Any city wishing to submit an amendment to the agreement shall do so by <br />submitting a written proposal to the Police Commission at a regularly scheduled or special <br />meeting. The Police Commission shall forward the proposed amendment, with a <br />recommendation to each member city, within ninety (90) days of receipt of the proposed <br />amendment. <br /> <br />- 11 - <br />
